Multnomah County an effetively and eonomially provide motor vehile fleet management and maintenane servies to Multnomah County Shool Distrit No. lj. b. Multnomah County Shool Distrit No. 1J will benefit from inreased fleet management and fleet maintenane eonomies of sale resulting from the ontrating for fleet maintenane and management servies from the County.. The County will benefit from the use of the existing Multnomah County Shool Distrit No. 1J Blanhard Eduation Center's maintenane faility whih is loated loser to many of the County's vehiles than existing County maintenane failities. FLEET AGREEMENT MULTNOMAH COUNTY SCHOOL DISTRICT NO. 1J AND MULTNOMAH COUNTY, OREGON INTERGOVERNMENTAL AGREEMENT FLEET SERVICES THIS AGREEMENT entered into in aordane with ORS Chapter 19 this e day of.:r, 2, between Multnomah County, a home rule subdivision of the State of Oregon, hereinafter referred to as "County" and Multnomah Shool Distrit No. 1J, hereinafter referred to as "Distrit." 1 BACKGROUNDANDINTENT 1.1 In September, 1999, County and Distrit signed a Memorandum of Understanding with the intent to enter into a long term agreement for the use and oupany of a part of the Distrit's Blanhard Eduation Center by the County and for the County to manage and maintain Distrit's-motorvehile fleet. This Agreement sets forth the terms upon whih County will manage and maintain Distrit's motor vehile fleet and the terms for transfer from Distrit to County of the shop equipment and parts inventory used for maintenane of Distrit's motor vehiles. 1.2 By separate agreement entered into ontemporaneously with this agreement, Distrit and County have agreed to the terms of a 99-year lease of approximately 38,97 square feet in the Blanhard Eduation Center and 7,4 square feet of fleet shop and garage together with additional area for afleet repair staging area, south loading doks, gasoline fuel pumps and employee and fleet parking, to be used for County administrative offies, shop uses and other muniipal funtions. 2 TERM 2.1 This Agreement shall begin on July 1, 2 and shall ontinue until terminated by mutual agreement of the parties or pursuant to Paragraph 8. 3 DEFINITIONS ' 3. 1 As used in this Agreement, the following terms have the following meaning: 3.1.1 "Equipment" means the equipment listed on Exhibit A. 3.1.2 "Inventory" means the parts inventory to be transferred by Distrit to County as determined under paragraph 4.2. 4 TRANSFER OF EQUIPMENT AND INVENTORY 4.1 Effetive July 1, 2, Distrit transfers all its right, title, and interest in the Equipment to County. On or before July 1, 2, County shall pay Distrit as alloated under Paragraph 6.1 of the Real Property Agreement the sum of$ 82,5 representing the agreed value of the Equipment. County shall have the right to possession of the Equipment on and after July 1, 2. County aepts the equipment AS IS, WHERE IS. 4.2 Effetive July 1, 2, Distrit transfers all its right, title, and interest in the Inventory to County together with the Distrit's supply of fuel on hand as of July 1, 2. On or before July 1, 2, County shall pay Distrit as alloated under Paragraph 6.1 of the Real Property Agreement for the Inventory a sum to be determined as follows whih shall be the agreed value of the Inventory: 4.2.1 A physial inventory shall be jointly ompleted by the parties during the week of June 25, 2; 4.2.2 Only those parts that an be used on existing Distrit vehiles and whih have been purhased by Distrit within 18 months of the inventory date will be inluded in the inventory to be sold unless the County in its sole disretion otherwise agrees. All other parts may be disposed of by Distrit by September 1, 2, and Distrit shall be entitled to all proeeds thereof. Any parts that have not been disposed of by that date will beome the property of the County. 4.2.3 The value of the items in the inventory shall be determined by Distrit's ost to purhase the parts; if the inventory inludes more than one of any partiular part, the value of those parts shall be determined by the Distrit's average ost to purhase those parts. 4.2.4 County aepts the Inventory AS IS, WHERE IS. County shall have the right to possession of the Inventory on and after July 1, 2. 4.3 On July 1, 2, the parties shall determine the amount to be alloated under Paragraph 6.1 of the Real Property Agreement for the fuel on hand as of July 1, 2. The amount shall be determined based on Distrit's ost per gallon for its most reent fuel purhase prior to July 1, 2. 4.4 With respet to the Equipment and Inventory, Distrit hereby dislaims all warranties, both express and implied, inluding the warranties of merhantability and fitness for a partiular purpose. 5 FLEET SERVICES 5.1 Beginning as of July 1, 2, County will provide the servies desribed in Exhibit B on all Distrit owned motor vehiles exept shool busses. The rates to be harged for suh servies shall be those harged to non-general Fund County Departments. The parties agree that these harges shall inlude those desribed on Exhibft B. shedule of rates is shown on Exhibit B. The shedule of servies and rates shall remain in effet unless hanged under paragraph 5.2.. 5.2 If County proposes to hange the servies to be provided or the rates to be harged, then on or before May 1 of eah year County will provide Distrit with notie thereof and a shedule of proposed servies and rates for the following fisal year. The proposed rates shall not be more than those to be harged to non-general Fund County Departments. The rates in the shedule shall be the effetive rates for the following fisal year unless within 3 days of the date of County's notie the Distrit gives written notie to the County that the Distrit does not agree to pay the proposed rates. Upon suh notie the parties will meet and agree on the rates. If no agreement is reahed within 6 days of County's notie to Distrit setting out the shedule of proposed rates, either party may refer the matter for dispute resolution in aordane with the provisions of Paragraph 1 of this Agreement. The new shedule agreed to by the parties under this paragraph or set by the arbitrator shall be substituted for Exhibit B to be effetive as of July 1 of the next fisal year. 5.3 The Distrit owned vehiles that will be subjet to this Agreement as of July 1, 2 are shown on Exhibit C. 5.4 Distrit, at Distrit ost, shall input data required by County into County's Fleet Management System onerning eah Distrit vehile identified on Exhibit D on or before July 1, 2. County shall provide Distrit with training and allow aess over the internet to County's Fleet Management System database and software to allow Distrit to input data over the internet from Distrit's offies. 5.5 County may provide the servies desribed in paragraph 5.1 at any County faility and may subontrat suh work to ommerial repair shops as may in the disretion of the County be neessary or appropriate. 5.6 County will manage the Blanhard Center fuel system and may, at County's expense, onvert the existing fuel management system at the Blanhard Center to a system ompatible with those at other County failities. All osts related to new aess ards, keys or other media shall be billed to Distrit in the same manner and amounts that suh osts are billed to County non-general Fund Departments. 5. 7 In performing the servies under this Agreement, County shall have the use of the fuel tank, and assoiated piping and pumps at the Blanhard Center whih shall remain the property of Distrit. Distrit shall maintain suh items in good repair and operating ondition at all times, shall obtain and maintain in effet all permits required for suh items and shall. omply with all laws and regulations relating to the installation and maintenane of suh items. In the event that Distrit shall fail to maintain suh items in good repair, County may, after 1 days' prior written notie to Distrit (or 24-hour notie in the ase of an emergeny), perform the required maintenane and repair and harge the ost to Distrit. 5.8 Every month County will provide to Distrit a bill desribing the servies performed under Paragraph 5 and the harges for suh servies. Distrit will pay the bill within 3 days of reeipt. 6 TRANSFER OF EMPLOYEES 6.1 Effetive July 1, 2, Distrit will transfer to County three employees with a Distrit job lassifiation as "Mehani" and one employee with a job lassifiation as "Foreman." 6.2 Transferred employees lassified as "Mehanis" by Distrit shall be treated as follows: 6.2.1 The job lassifiation for suh employees at the County shall be "Equipment Mehani 2." 6.2.2 The wage rate for eah suh employee at County as of July 1, 2, shall be rate paid to suh employee by Distrit on June 3, 2, adjusted downward by an amount equal to the County paid employee ontribution to the Publi Employee Retirement System (PERS). The reason for the adjustment is that County pays its employees' ontribution to PERS but Distrit does not. 6.2.3 The wage rate for eah suh employee shall be the amount speified in paragraph 6.2.2 until June 3, 23, or until suh wage rate is equal to or less than the thenurrent County pay sale for Equipment Mehani 2 based upon the employee's ombined years of servie to Distrit and County, whihever omes first. As used in this paragraph 6, "ombined years of servie to Distrit and County" means years of servie in the County job lassifiation plus years of servie at the Distrit in a omparable job lassifiation. If on June 3, 23, the County wage rate for Equipment Mehani 2 positions remains less than the amount speified in paragraph 6.2.2, the employees will be paid suh County wage rate, effetive July 1, 23. 6.3 The transferred employee lassified as "Foreman" by Distrit shall be treated as follows: 6.3.1 The job lassifiation for suh employee at the County shall be "Fleet Maintenane Supervisor" whih is a non-represented position. 6.3.2 The wage rate for suh employee on and after July 1, 2 shall be the rate paid to suh employee by the Distrit on June 3, 2, adjusted downward by an amount equal to the County paid employee ontribution to PERS and subjet to onsideration for annual adjustments upward based on County wage inreases for omparable County positions. County will in addition pay suh employee's ontribution to PERS as County does for all County employees. 6.4 Arued leave banks for eah transferring employee will be treated as follows: Multnomah County and Portland Publi Shool Distrit No. 1J IGA. 6.4.1 Eah transferring employee may transfer to County the maximum number of hours of arued vaation leave that the transferred employee is permitted to arue in his position as a County employee. Eah transferred employee may transfer to the County all arued sik leave. No ompensatory leave, personal leave or other leave may be transferred. Distrit shall be responsible for any obligations whih may exist with respet to arued ompensatory leave or personal leave of transferring employees. 6.4.2 Distrit shall pay to County the following sums: 6.4.2.1 A sum equal to 5% of the total number of sik leave hours transferred by eah transferring employee times the hourly rate of suh employee on June 3, 2. 6.4.2.2 A sum equal to 1% of the total vaation leave hours transferred by eah transferring employee times the hourly rate of suh employee on June 3, 2. 6.4.2.3 The sums speified in paragraphs 6.4.2.1 and 6.4.2.2 shall be paid on or before July 1, 2. 6.5. For the period from July 1, 2, until June 3, 23, or until the wage rate speified in paragraph 6.2.2 is equal to or less than the then-urrent County pay sale for Equipment Mehani 2 based upon the employee's ombined years of servie to Distrit and County, whihever omes first, the Distrit will pay County the following: 6.5.1 The differene between the following: 6.5.1.1 The amount speified in paragraph 6.2.2 times the atual number of hours paid to suh employees transferred into the position of Equipment Mehani 2, and, 6.5.1.2 The wage the employee would have earned at the thenurrent County wage rate for Equipment Mehani 2 times the atual number of hours paid to suh employees transferred into the position of Equipment Mehani 2. 6.5.2 Suh sum(s) shall be paid annually on or before August 1 of eah alendar year, provided County submits to Distrit an invoie for suh sums by July 1 of eah alendar year. 6.6 All transferring employees shall be entitled to overage under County health insurane plans without any waiting period for preexisting onditions. Distrit shall for a period of 12 months reimburse County for any additional premium osts inurred by County resulting from the waiver of any waiting period. 6.7 This Agreement is not intended to benefit any individual, employee, group of employees, orporation, or other legal entity other than County and Distrit. This Agreement shall not be deemed to 'vest any rights in, nor shall it be deemed to be enforeable by, any third party in any proeeding whatsoever. 6.8 All transferring employees shall have seniority determined as follows: Where County uses years of servie in a job lassifiation for any purpose, seniority shall be determined by years of servie in the County job lassifiation plus years of servie at the Distrit in a omparable job lassifiation. Where County uses total years of servie with the County for any purpose, seniority shall be determined by total years of servie with the County plus total years of servie with the Distrit. 6.9 Any transferred employee who has had a ompensable injury under the Worker's Compensation Laws of Oregon while an employee of Distrit who is not released to full duty on the effetive date of the transfer shall not be transferred to County until released to full duty. Until suh time as the injured employee is released to full duty, the Distrit shall retain all obligation for re-employment and reinstatement under ORS 659.415 to ORS 659.42, and all obligation for group health benefits. Distrit shall reimburse County for any osts inurred by County for benefits paid, retraining and any other osts assoiated with any laim by transferred employee that the employee, while employed by the County, suffered an injury whih is an aggravation of a ompensable injury whih ourred while a transferred employee was employed by Distrit. 7 TERMINATION, DEFAULT AND REMEDIES 7.1 Either party may terminate this Agreement effetive July 1 of any year by notie of termination in writing to the other party not later than January 1 of the year in whih the termination is to be effetive. The parties agree not to terminate this Agreement under this paragraph prior to July 1, 23. If Distrit terminates the agreement then Distrit shall repurhase from County all parts inventory that County is unable to use for its ontinuing servie and repair work for itself and others. The value of the inventory to be repurhased shall be determined in the manner provided in paragraph 4.2. 7.2 If County shall fail to pay any of the sums required to be paid under this Agreement or fail to perform the servies required to be performed by County under this Agreement, County shall be deemed to be in default. If Distrit shall fail to pay any of the sums required to be paid under this Agreement or fail to do any other thing required to be done by Distrit under this Agreement, Distrit shall be deemed to be in default. 7.3 If County, after written notie, fails to pay any of the sums required to be paid under this Agreement or to remedy any other default within 6 days, or if the remedy requires more than 6 days, fails to begin and diligently pursue remedy of the default within 6 days, the Distrit may, at its option, terminate this Agreement by giving written notie of suh termination to County. 8 INSURANCE 8.1 It is understood that Distrit and County are both self-insured publi bodies in the State of Oregon. If either party eases to be self-insured, suh party shall so notify the other party's risk manager in writing as soon as is pratiable. In that event, the party easing to be self-insured ("Insuring Party") shall maintain worker's ompensation insurane as required by statutes, general ommerial liability insurane, property damage insurane and automobile liability insurane with respet to its ativities under this Agreement. The insurane shall name the other party ("Insured Party") and its offiials and employees as additional insureds. 8.2 Exept as may be required by Setion 8.3, the insurane referred to in Setion 8.1 shall provide liability overage for not less than $2, for personal injury to eah person, $5, for eah ourrene, and $5, for ourrenes involving property damage. 8.3 The limits of the required insurane shall be hanged by a perentage equal to the perentage of any hange in the maximum limit of liability imposed on politial subdivisions of the State of Oregon during the term of this Agreement. 8.4 The insurane shall be without prejudie to overage otherwise existing and shall name as additional insureds the Insured Party and its offiers, agents, and employees. Notwithstanding the naming of additional insured, the insurane shall protet eah insured in the same manner as though a separate poliy had been issued with the Insured Party named as insured. The overage must apply as to laims between insureds on the poliy. 8.5 The insurane shall provide that the overage shall not terminate or be aneled without sixty (6) days written notie first being given to the Insured Party's risk manager. If the insurane is aneled or terminated prior to termination of the Agreement, the Insuring Party shall provide a new poliy with the same or greater limits. The Insuring Party agrees to maintain ontinuous, uninterrupted overage for the duration of the Agreement and to provide the Insured Party with evidene thereof. 8.6 County will be liable for and repair all damage to Distrit vehiles while in the ontrol of the County unless suh damages is the result of negligene of the Distrit. If the ost of repair of any suh damage exeeds the value of the vehile, County may elet to pay Distrit the fair market value of the vehile in lieu of making repair. 8.7 8.7 When County subontrats work on Distrit vehiles, County will require the subontrator to maintain Garagekeepers Legal Liability insurane or Commerial General Liability insurane together with Commerial Automobile Insurane. The mediator will be seleted by mutual agreement, and will be ompensated equally by both parties. If the parties fail to agree on a mediator within ten days of notie by either party of a request for mediation, a mediator shall be appointed by the presiding judge of the Multnomah County Ciruit Court upon the request of either party. 1. 2 The parties agree that any dispute under this Agreement whih is not resolved through mediation under Setion 1.1 shall be resolved in aordane with this setion. An arbitrator will be seleted by mutual agreement, and will be ompensated equally by both parties. If the parties fail to agree on an arbitrator within ten days of notie by either party of a request for arbitration, eah party shall submit to the presiding judge of the Multnomah County Ciruit Court a list of three proposed arbitrators and the presiding judge shall appoint an arbitrator from among those proposed. Eah party shall bear its own osts and attorney fees in onnetion with any arbitration. 11 MISCELLANEOUS 11.1 No waiver of any breah of any ovenant, term, or ondition of this Agreement shall be effetive unless in writing. No waiver of any breah shall be a waiver of any other breah. 11.2 This Agreement may be modified only by a writing signed for County by the Chair or the Chair's designee, who is as of the date of this agreement the County Diretor of Environmental Servies, and signed for Distrit by the Superintendent or the Superintendent's designee who is as of the date of this agreement the Distrit Faility and Asset Manager. EXHIBIT 8 Desription of servies to be provided and fee struture The County will provide a full range of fleet maintenane and management servies for the Distrit in generally the same manner as provided to County Departments. The rates shown below are for the 2/1 fisal year. Charge Desription Overhead harge FY/1 Rate $35 per month per vehile/equipment unit (Through equipment lass 2999 whih exludes small equipment with a replaement ost of less than $8.) This harge overs the following servies: Vehile replaement planning Vehile speifiation development Vehile purhasing Vehile liensing Vehile disposal administration (Aution fees are passed through) Servie reimbursement billing Vehile reord keeping Vehile washing Fuel management servies at the Blanhard Center Other related administrative servies Operating and Maintenane Charges Operating and maintenane harges will be performed on an "atual ost" basis whih is generally referred to as a "time and material" basis.
