MALAYSIA INVESTOR RELATIONS (IR) AWARDS 2018 The Investor Relations Awards 2018 (IR Awards) is the largest annual event in the Malaysian Investor Relations Association (MIRA)'s calendar. For the eigth consecutive year, MIRA is proud to host the IR Awards, which marks the culmination of a dedicated initiative by the Association in advancing and promoting good IR practices among listed entities in Malaysia. The awards was presented on Wednesday, 5 December 2018 at Level 1, Ballrooms 1 & 2, Sime Darby Convention Centre, Kuala Lumpur. Objectives of the IR Awards To recognise and celebrate the achievements of top IR performers from the Malaysian listed entities through a comprehensive, independent IR Survey and poll of all relevant buy-side and sell-side firms investing in or covering Malaysian equities To promote good corporate governance, advocating greater transparency and timely, fair disclosure which will ultimately enhance shareholder value for all companies To highlight to other public-listed companies and IR practitioners the exemplary IR practices that they might seek to emulate To recognise the diversity in IR activities and practices which will eventually help boost the standards of IR in these areas To raise the bar for excellence in IR so that the IR function will be regarded as an essential part of corporate DNA Overview of the Annual Malaysian IR Survey In partnership with KPMG Management & Risk Consulting Sdn Bhd, the awards were presented as a result of a survey undertaken between September to October 2018 by a media consultancy firm focusing on evaluating and rating the IR-related activities conducted by Malaysian companies and corporate individuals/professionals in 2017. With KPMG's involvement in this year's Awards, besides the criteria stipulated, top companies were also screened through for adverse news, compliance with Bursa Malaysia's Listing Requirements on website announcements and key financial ratios on relevant categories. The Survey approach is based on: A carefully compiled, yet simple questionnaire to help elicit as high response levels as possible. E-mails with provision of website link to questionnaires with criteria for voting, to give the widest coverage and opportunity for participants. Highly targeted potential respondent listings - Responses were only accepted from legitimate investment professionals at brokerage firms/asset managers. Provision of final results, based on verified, weighted responses, to give validity to the findings. The final results were validated by KPMG. Participants Over 900 legitimate investment professionals covering stocks in Bursa Malaysia were invited to take part in the survey. Voting Process Each voter will only be allowed to vote once, and it will be allowable for any voter to give partial response only (i.e. they do not have to complete every part of the question categories in order for their nominations to be accepted). When voting they will be encouraged to submit multiple nominations, scoring firms/individuals in ranking order based on overall quality of knowledge, service and interaction. 2

Results Calculation Once nominations have been received, checked and verified, at the close of the poll, calculation and compilation of results will be done. All nominations in each category will be treated separately, and used only to form the result for that category. There will not be any aggregation of nominations across various categories. Separate rankings and results for companies and individuals were collected for the following categories:- Large Cap Medium Cap Small Cap Micro Cap 10 categories surveyed are polled under Large, Mid, Small and Micro based on company size (market capitalisation) referenced against the basket of companies under the FTSE Bursa Malaysia Index Series during that period. The following are the categories polled:- Best Company for IR Best CEO for IR Best CFO for IR Best IR Professional Best IR Website Best IR for an IPO in 2017 Business Knowledge & Insights of an IR Team Most Improved Service from an IR Team Best Quality of Annual Reports/Formal Disclosure Best Quality of One-on-One Meetings 3

Supplementary Report This Supplementary Report ( Report ) outlines the investor relations developments at the regional and global landscape, engagement through corporate website, technological modalities for investor relations and analyses on the trends of the winners over the past three years as well as observations from the qualitative and quantitative assessment performed. Investor relations developments rise of stewardship The rise of responsible ownership or better known as stewardship is profoundly impacting the roles assumed by the cogs of the capital market wheel, including that of investor relations practitioners. Against the backdrop of intensifying equity ownership by institutional investors and growing consciousness brought about by global stewardship codes, it is only natural to expect proactive engagement between companies and investors to take on the same trajectory. As Larry Fink (the Chief Executive Officer of the largest asset manager in the world, BlackRock) has put it in his open letter to investee companies early this year, the time has come for a new model of shareholder engagement one that strengthens and deepens communication between shareholders and the companies that they own. In an environment whereby asset management companies are establishing dedicated stewardship teams and attendant resources to augment portfolio managers, the narrative and audience of investor relations communication have to evolve in tandem. To this end, investor relations officers ( IROs ) have to go beyond the conventional operational narrative and short-term financial numbers by linking communication with strategy. As practices such as auto piloting (voting solely based on recommendations of proxy advisors) and silent voting (voting without engaging companies) are reduced to that of bygones, investor relations function must utilise investor feedback including that by stewardship teams of asset management companies as a powerful strategic resource. All in all, as portfolio managers focus on investment decisions and stewardship teams champion corporate governance issues, the investor relations function of the company must co-ordinate with in-house management personnel and governance counsels to form a unified engagement approach, including soliciting feedback and providing responses. In seeking to communicate the company s value creation story, IROs should focus on outlining the broad thrust, opportunities and risks of their companies long-term strategies to create financial and social wealth. The words of wisdom professed by a former American politician, Donald Rumsfeld can certainly serve as a useful guide in this regard - There are known knowns things we know we know. There are also known unknowns that is to say there are things we know we do not know. But there are also unknown unknowns, where we don t know what we don t know. This language should strike a chord for any investor relations practitioner that communicates with the investment community in uncertain times: Simply put, the job of an investor is to understand uncertainties and to take a scientific approach to pricing them. On the other hand, the role of the company through an IRO is to aid that process, in part by translating unknown unknowns into known unknowns and the communication should be done within regulatory confines. This newfound environment also certainly calls for greater oversight by the board on investor relations oversight with due consideration given to not only how attractive the company is to investors but also how beneficial an investor is to the company s shareholder portfolio. The greater involvement by boards would increasingly be the case as institutional investors including asset management companies adopt an engagement-first approach to voting whereby concerns are identified and discussed with the aim of resolving issues facing the company. 4

Engagement through corporate website Acknowledging the shift in the way we use technology to disseminate information, IROs should harness related modalities by communicating with investors through multiple digital avenues including company website. In fact, pursuant to paragraph/rule 9.21 of the Main Market/ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, every listed issuer must have its own website and information contained therein should be current and informative. A high-quality website with easy access to a company s information would seamlessly enable the process for investors to formulate their judgments. To this end, several leading practices could potentially be explored to allow investors to have a better appreciation on the company s value creation narrative. For instance, a crisp and interactive video (with a duration of two minutes being the common sweet spot ) could be a powerful added feature within a website to summarise the company s business profile. Through the video, investors can have a quick grasp on the company s way of play. Another sleek leading functionality that is worth adopting would be the ability to download (in a spreadsheet friendly format) datadriven reports that are characterised by volume, variety and velocity. This would negate the need for investors to perform swivel chair duties from a word or pdf format document as they could instantly crunch the numbers through the spreadsheet. Another value-add feature to apprise investors is through e-mail updates or newsletters as investors would have accessibility at their convenience. are therefore encouraged to send out periodic updates to their investors by leveraging on technology. This can be done vide an e-mail newsletter that details the company s progress towards reaching key milestones and status updates on ongoing developments. Technological modalities for investor relations Rapacious technologies are creating waves of change and new opportunities in investor relations as companies are now embarking on digitalisation as we phase into the fourth industrial revolution. Investor relations, by nature, is a strategic communication function that is being transformed by technological developments. Digitisation, social media, data analytics, artificial intelligence, and machine learning are transforming all industries in the corporate landscape. The use of digital distribution channels for company investor communications has become indispensable as the orthodox face-to-face investor meetings are being challenged by an increased demand for virtual engagements such as webcasts, video conferences, webinars and web conferencing. Other innovations such as social media, data analytics, financial technology platforms and even artificial intelligence have further revolutionised these engagement fora. Conventionally, investor relations teams reported numbers to their management teams as static set points throughout the year. Today, with investors having access to so many avenues of information about companies, IROs are now expected to have detailed knowledge and understanding of their companies. This paradigm shift from reactive to proactive means that IROs have to be consistently in tune with the pulse of the industry and market sentiments. In other words, IROs will need to be proficient of their sector nuances, requiring a broad knowledge of industry-related change. Another medium whereby the usage of technology may be impactful is through advocating investor relations practices via social media as it can strategically amplify a company s message. For IROs, monitoring social media channels such as LinkedIn and Twitter is an important part of managing investor relations. Social media is becoming a valuable part of the communications strategy of a successful investor relations program. In this light, IROs should embrace social media as an effective mean to emphasise their corporate story. 5

Analyses on the trends of the winners over the past three years Note: The results of the survey was based on popularity voting from the buy-side and sell-side players of the investment community. Arising from this methodology, the trend analyses on the winners of each category are premised on factors such as voting behaviour and perception, rather than exclusively based on industry developments. The observations below outline the trends in the respective award categories, stratified by market capitalisation and industry. Note: Capitalisation has been abbreviated as cap ; Chief Executive Officer as ( CEO ); Chief Financial Officer as ( CFO ); and Investor Relations as ( IR ). Large Cap As depicted in Chart 1, diversified conglomerates have been leading the way for the past three years, taking a dominant share of the awards despite the competitive landscape. For instance, Sime Darby Berhad had won in numerous categories such as Best Company for Investor Relations, Best Investor Relations Website, Best Investor Relations Professional and Best CEO & CFO for Investor Relations. Sime Darby Berhad had also won awards outside of the large cap category including Best Business Knowledge and Insights of Investor Relations Team, Quality of 1-to-1 Meetings and Quality of Annual Reports in 2016. This could possibly stem from the availability of resources among conglomerates, whereby a positive correlation between size of company and investor relations programme was observed. Taking conglomerates aside, companies in the commercial banking industry have typically came in second based on pecking order. Malayan Banking Berhad and RHB Capital Berhad/RHB Bank Berhad had won the Best CFO for Investor Relations in 2015 and 2016. Additionally, CIMB Group Holdings Berhad had won the Best CFO for Investor Relations in 2017 while Hong Leong Bank Berhad had won the award for the Most Improved Services category in 2016. 13% Chart 1: Winners in the large cap by industry from 2015 to 2017 13% 20% 7% 47% Conglomerate Commercial Banking Oil and Gas Telecommunications Media 6

Medium Cap Similar with the large cap category, the conglomerate industry proclaimed dominance in the share of the awards in the past three years, as shown in Chart 2. Sunway Berhad and Genting Plantations Berhad had both won awards such as Best Company for Investor Relations and Best Investor Relations Professional, Best CEO and Best CFO for Investor Relations and Best Investor Relations Website for the 2015 and 2016 awards. It is interesting to note that the airline industry came in second for the medium cap category, specifically AirAsia Group Berhad and Malaysian Airports Holdings Berhad being awarded for Best Website for Investor Relations, Best Company for Investor Relations, Best CEO for Investor Relations and Best CFO for Investor Relations in 2017. Chart 2: Winners in the medium cap by industry from 2015 to 2017 33% 13% 54% Conglomerate Airline Construction Small Cap in the technology industry under the small cap category, namely, Vitrox Corporation Berhad and Globetronics Technology Berhad, had dominated the awards such as Best Company for Investor Relations, Best Investor Relations Professional, Best CFO for Investor Relations and Best CEO for Investor Relations in 2016 and 2017, as depicted in Chart 3. In 2015 however, it was the property industry that led the small cap category, with companies such as Malton Berhad and Tambun Indah Land Berhad winning almost all of the contested awards. 19% Chart 3: Winners in the small cap by industry from 2015 to 2017 13% 37% Technology Property Others Construction Micro Cap 31% In the case of micro cap, it was observed over the three years trot, companies in the engineering industry had won the largest share of awards. It is worth highlighting that AWC Berhad, had won almost all of the contested awards in year 2016, while HSS Engineers Berhad had won most awards in 2017 which include Best Company for Investor Relations, Best Investor Relations Professional and Best CEO for Investor Relations. In 2015, it was noted that the Computer Manufacturing Industry, helmed by EG Industries Berhad had won most of the awards. 7

Observations from qualitative and quantitative assessments performed In addition to those criteria set by MIRA for the ten distinct award categories, a series of qualitative and quantitative indicators were used as benchmarks to further screen and provide an objective review of the consolidated voting results, specifically for those categories whereby potential award recipients are gridlocked with an equal number of votes. The following entails the findings and observations from the qualitative and quantitative assessment performed. Qualitative assessment Based on the validation exercise performed, it was observed that all of the assessed companies have reflected the publication of announcements made to Bursa Malaysia Securities Berhad on their respective corporate websites, taking into account paragraph 9.21 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad and Rule 9.21 of the ACE Market Listing Requirements of Bursa Malaysia Securities Berhad, As from a corporate governance standpoint, it was observed that most of the selected winners had established a dedicated investor relations function, as advocated in Guidance to Practice 11.1 of the Malaysian Code on Corporate Governance. This serves to underscore the effort expended by such companies to proactively engage with stakeholders, particularly the investment fraternity. In addition, leading companies have explicitly placed investor relations as a matter under the preserve of the board with stakeholder communications policy being formulated to guide the protocol, nature and extent of stakeholder engagement. However, it should be noted that there is still headroom for improvement amongst shortlisted companies in terms of ease of navigation on their corporate websites, which proved to be the tie-breaker for the Best Investor Relations Website category. Features such as investor toolkits, detailed calendar of investor relations events, and e-mail alert functionalities have served as distinguishing factors. In addition to compliance to mandatory promulgations on website content, adverse news were also taken into consideration in assessing the state of affairs concerning any potential award winner. Quantitative assessment In relation to the quantitative assessment performed, it is important to note that the relevance of such assessment only apply to two award categories, i.e. Best CEO for IR and Best CFO for IR as an extended criterion for potential winners that are gridlocked with an equal number of votes. These benchmarks have been carefully selected based on the controllability of these indicators against the responsibilities assumed by the key senior management personnel (i.e. the Chief Executive Officer is responsible for the setting of overall strategy execution and day-to-day management whilst the Chief Financial Officer is entrusted with the overall financial planning, reporting and managing the financial risks). In this respect, their performance can somewhat be gauged through financial indicators such as return on equity, dividend per share and current ratio. Financial indicators are a good proxy to gauge the state of the financial health of companies, which translates into returns to investors whereby good financial performance could potentially uplift investor confidence and subsequently, precipitate a positive cycle of growth for the company. It was noted that the winners for the abovementioned categories are indeed ahead of the curve in terms of financial performance as well as nature and extent of investor relations activities. Whilst it is important that companies should seek continuous improvement in their investor relations activities besides focusing on producing healthy financial returns for investors, considerations such as the company s sustainability and externalities to stakeholders should also be taken into account. 8
