1 Annex 1 ELMO short-term rental service Technical terms of the Service 1. General 1.1. The present technical terms are an inseparable part of the User Contract concluded with the Customer Short-term rental service of electric cars currently being set up by KredEx enables a Customer to rent electric cars (24 36 cars) on the basis of self service by minute or hour. In order to rent a car, a Customer shall conclude an indefinite User Contract. Thereafter, he/she can start rental sessions of cars independently throughout the term of the User Agreement. 2. Definitions 2.1. Means of Authorisation a mobile phone or another technical device by which a particular User starting to use the Service is identified; 2.2. Private Customer a customer who is a natural person; 2.3. Representative: G4S Eesti Ltd, who is authorised to conclude, amend and terminate the Contract with Customers on behalf of KredEx; 2.4. Self Service Web web environment created for Customers for carrying out operations at User: a natural person appointed by the Customer, who uses the service provided to the Customer with the approval and at the risk of the Customer; 2.6. User Contract a contract concluded between the Customer and KredEx for using the Service; 2.7. Customer: a natural person, who has concluded a Contract for using the Service, or a Corporate Customer; 2.8. Home Page: the internet Home Page of programme ELMO at ; 2.9. Rental Session: period when the Customer is actively using the Service, i.e. has started to rent the Vehicle with the Means of Authorisation; Vehicle: electric car used for providing the Service; Service: short-term rental service of electric cars provided by KredEx to Customers; Rental Point: a physical place determined by KredEx for starting or ending the use of the Service; Corporate Customer a legal person and a self-employed entrepreneur who has concluded a Contract as a self-employed entrepreneur. 3. Vehicles

2 3.1. The vehicles are supplied with a telematics solution ensuring constant monitoring of the Vehicles by the Service control system and forwarding of commands of the Service to the Vehicles. 4. User Contract 4.1. For using the Service, a Customer shall digitally sign the User Contract in the Self Service Web A Customer can add sub-users to the main User in the Self Service Web. Contractually, the Customer having concluded the Contract shall remain responsible for the sub-users, if the User identifies him-/herself during the Rental Session as a sub-user of the particular Customer Users related to a Corporate Customer shall first register themselves as Private Customers using the Service and conclude a User Contract In order to conclude a Private Customer User Contract, a Customer must have a valid Estonian ID card and a valid driving license In order to conclude a Corporate Customer User Contract, a representative of the Corporate Customer must have a valid Estonian ID card and a valid driving license,

3 and if his/her name is not on the registry card as a person with authorisation to represent the company, also a document confirming the authorisation for representation User Contracts are stored electronically A Customer can examine the User Contract in the Home Page, and it is also displayed individually before digital signing. After the conclusion of the User Contract, a Customer can see the User Contract in the Self Service Web. 5. Rental Session 5.1. Rental sessions can be only started by Users with valid User Contracts who have authorised themselves in the Self Service Web or are using the mobile version of the Self Service Web ( where authorisation takes place by telephone number At the beginning of the Rental Session a User who is a sub-user of a Corporate or Private Customer has to determine whether he/she wishes to start the Rental Session as a Private Customer or on behalf of the main User Commands for Rental Sessions are the following: Book records the using session status of the Vehicle as busy for the period determined by KredEx (30 minutes). Booking takes place through the Self Service Web. If a Customer has booked a Vehicle, another User cannot book or use the same Vehicle Start the Rental Session opens the doors of the Vehicle, deactivates immobiliser and alarm system. Enables the Customer to start the Vehicle independently. Starts calculation of Rental Session fee according to the rates established in the User Contract of the User Pause the Rental Session activates the immobiliser and the alarm system. Locks the doors of the Vehicle. Does not stop calculating the Rental Session fee Terminate the Rental Session terminates the using session of the Vehicle, activates the immobiliser and the alarm system. Locks the doors of the Vehicle. Stops calculation of the fee for the Rental Session and adds it to the Customer s invoice for current month. When the Rental Session has been terminated, other Customers can book and use the Vehicle Submission of the Rental Session commands takes place by Self Service Web and the mobile phone of the User, whereas: A Vehicle can be booked in the Self Service Web and the mobile version of the Self Service Web by clicking a relevant link.

4 In order to start, pause, and terminate Rental Sessions, it is necessary to call phone numbers sent to the User at the beginning of each Rental Session in an SMS, or click relevant links in the mobile version of the Self Service Web The maximum allowed delay for sending a Rental Session command to a Vehicle is five (5) minutes At the beginning of a Rental Session a User can terminate the Rental Session for free within five (5) minutes Calculation of the fee for a Rental Session begins automatically when the booking time assigned for the particular User (30 minutes + 5 minutes) ends In order to cancel a booking, a User shall call the phone number for termination of a Rental Session provided in the SMS sent to the User at the beginning of the Rental Session, or terminate the session by clicking a relevant link in the mobile version of the Self Service Web. 6. Rental Points 6.1. A Rental Point is a place where Rental Sessions of Vehicles can be started and terminated without additional fee Rental Points are published on the Home Page, and in the Self Service Web and the mobile version of the Self Service Web If a Rental Session is terminated outside the Rental Point, the fee for returning the Vehicle to a Rental Point is added to the invoice of the Customer for the current month. Additional fees are published in the Home Page. 7. Charging of a Vehicle 7.1. The battery level of the Vehicle is displayed for the Customer in the Self Service Web or the mobile version thereof upon the selection of the Vehicle KredEx does not guarantee full batteries for all Vehicles at the beginning of Rental Sessions If a Vehicle is connected to a charging device (regular or quick charger) at the beginning of the Rental Session at a Rental Point, the User has a right to disconnect the Vehicle from the charging device During the Rental Session, a User has a right to charge the Vehicle at all quick chargers managed by KredEx. No charging fees shall apply The time of charging shall be included in the time of the Rental Session, unless the User has terminated the Rental Session for the time of charging Quick charging network charging cards are placed in the Vehicles together with user manuals of the Vehicles Quick charging manuals have been made available to the User in the Home Page.

5 8. Operation of the Service and Helpdesk 8.1. G4S Eesti AS (Representative) operates the Service on behalf of KredEx The tasks of the Representative include operation of the Vehicles and management of customer relations Vehicle operation includes: regular and incident-based Vehicle inspection; Vehicle maintenance and cleaning; Vehicle transportation Management of customer relations includes: conclusion of User Contracts; management of the Customer and User Contracts Register; amendment and termination of User Contracts; Service management; Helpdesk and incident management; Customer accounting; 8.5. Helpdesk Helpdesk operates 24 hours at numbers 1911, and rent.elmo@ee.g4s.com In the event of calling the Helpdesk, the fees of the particular operators apply and are payable by the Customer Helpdesk includes: information about Service terms; instructions about using the Service (including Vehicles and charging thereof); incident management and administration. 9. Final terms 9.1. The present technical terms are valid indefinitely KredEx has a right to amend the technical terms at any time, publishing the amended terms on the Home Page.
