2 The Phoenix s breakthrough technology for the first time ever allows the production of electric power using on kinetic principles. It does so without fossil fuels input, and without the emission of pollutants, or the production of waste. The Phoenix 125KWh produces electric currents using recyclable water, without consuming the water or any other natural resources. The System can produce power as a single unit or in a synchronized and interconnected combination of multiple units (paralleling) to achieve the desired capacity. The PHOENIX operates on the principles of over unity, (the ability to produce more electricity than it consumes). Consequently, VEPI warrants to the original end user that if properly installed, maintained, and operated in accordance with the product manual, its Power Generating Systems configured by VEPI with its power units ( Power Systems ) are free from defects in material and workmanship. Should a defect in materials or workmanship manifest during the period of this warranty, VEPI will at its sole discretion repair, replace, or otherwise resolve the issue to the satisfaction of the end user. Guidelines: FOR THIS WARRANTY TO STAY IN FULL FORCE THE FOLLOWING GUIDELINES ARE REQUIRED: A) Only VEPI s certified electrical technician shall do the final site inspection, testing, and startup the Power Generating Systems (or Units). B) This warranty covers the original owner and is only transferable to other entities with the non-lapsed enrolment on the extended warranty program. C) The installation, Operation and Maintenance program shall only be considered properly done if performed by VEPI s technicians, or it s authorized distributors, dealers or authorized service agents. D) Only VEPI s technicians, or its authorized distributors, dealer, and service agents should perform any and all warranty repairs and related diagnostics. E) VEPI in its sole discretion may choose to repair, replace or reach other resolution to the satisfaction of the original owner. F) Claimant making a claiming direct must provide satisfactory proof of the performance of all required maintenance by VEPI s technicians, or VEPI, or its authorized distributors, dealer, and service agents. G) Original Equipment Manufacturer (OEM) components in VEPI s power units or systems may also be covered under the manufacturer s warranty (the OEM Warranties ), and Warranty claims for defects in material and/or workmanship on OEM components, may be processed through the OEM distributor/dealer network. H) Beyond the first year, and without the non-lapsed enrolment on the extend warranty program with the O&M, VEPI shall neither guarantee nor assumes any liability under OEM warranties. Page 7 or 8

8 This Warranty will NOT cover the following: Damage Caused By 3 rd Parties Interposition: 1. Improper installation, maintenance, and or operation (done by 3 rd Parties) not authorize by VEPI. 2. Damages related to shipping or relocation due to the use of means deemed an unsuitable mode of transportation or improper handling, or caused by an accident. 3. Damage caused by use, including operation at speeds and loads that are contrary to product specifications, and extended disuse. 4. Damage or failure occasioned by misuse, abuse, and other negligent treatment and handling while in the custody of the owner of any other third party not authorize by VEPI. 5. Modification alteration or connection to any other power generating system, or unsuitable or incompatible power equipment(s). 6. Damages related to the use by the owner or end user or other a third party not authorized by VEPI, or adapting parts, or component including Transfer Switches that have not been recommended by VEPI. 7. Use as other than as a stationary fixed power-generating system for the original owner or end user, except as may be permitted in the product specific VEPI s product manual. 8. Use of unit that has not been so indicated by VEPI, as rental or as mobile power generating systems unit shall void this warranty. 9. Exposure to harmful natural and manmade elements, including harsh environmental conditions; and rodents and any other animal infestation. 10. Damages associated with an Act of God or causes that are reasonably outside the control of the VEPI, including but not limited to earthquakes, windstorms, lightening, wild fire, wars, riots, governmental actions including seizures or sealing of power system, etc. 11. Cost for acquisition of alternative power supply during the warranty repair, replacement, or maintenance. 12. Installation of System in places that do not meet the requirements for the company. THIS IS AN EXCLUSIVE WRITTEN WARRANTY. VEPI MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, AS TO THE MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, AND NO ONE IS AUTHORIZED TO MAKE ANY OTHER WARRANTIES ON BEHALF OF VEPI, ANY IMPLIED OR STATUTORY WARRANTY, INCLUDING ANY WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE, IS EXPRESSLY LIMITED TO THE DURATION OF THIS WARRANTY. VEPI SHALL NOT BE LIABLE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES ANY KIND, INCLUDING BUT NOT LIMITED TO WHERE SUCH DAMAGES ARE A DIRECT RESULT OF VEPI S NEGLIGENCE. SOME STATES DO NOT ALLOW LIMITATIONS ON HOW LONG AN IMPLIED WARRANTY LASTS, OR THE EXCLUSION OR LIMITATION OF INCIDENTAL AND/OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION OR EXCLUSION MAY NOT APPLY TO YOU. THIS WARRANTY GIVES YOU SPECIFIC LEGAL RIGHTS, AND YOU MAY ALSO HAVE OTHER RIGHTS WHICH VARY FROM STATE TO STATE.
