1 Dear NHEC Member: New Hampshire Electric Cooperative s (NHEC) Above the Cap Interconnection (Net Metering) Application Instructions Thank you for inquiring about New Hampshire Electric Cooperative s Interconnection Program. Below are important points you need to know in order to expedite the processing of your Interconnection (Net Metering) Application. Please read carefully! New Hampshire Electric Cooperative strongly suggests members review New Hampshire Electric Cooperative s Terms & Conditions, Section X. Net Metering and any NH Code of Administrative Rules, CHAPTER PUC 900 NET METERING FOR CUSTOMER-OWNED RENEWABLE ENERGY GENERATION RESOURCES OF 1000 KILOWATT OR LESS referenced therein prior to submitting their Net Metering Application. Particular attention should be paid to the following sections: PUC Customer-Generator means eligible customer generator as defined in RSA 362-A:1-a,II-b, namely an electric utility customer who owns, operates, or purchases power from an electrical generating facility either powered by renewable energy or which employs a heat led combined heat and power system, with total peak generating capacity of up to and including one megawatt, that is located behind a retail meter on the customer s premises, is connected and operates in parallel with the electric grid, and is used to offset the customer s own electricity requirements. Incremental generation added to an existing facility that does not itself qualify for net metering, shall qualify if such incremental generation meets the qualifications of this paragraph and is metered separately from the non-qualifying facility. Section X.2.4 Pre-application Review. (a) Before purchasing or installing net energy metering equipment, a customer-generator may request that the customer-generator s distribution utility informally review the proposed project. Section X.2.5 Interconnection Application. (a) To initiate the process to engage in net energy metering, a member-generator shall file with the Cooperative, an interconnection application form. (read entire section NHEC T & Conditions Section X.2.5 NHEC Net Metering PUC Mutual Indemnity Provision. PUC Application Completeness Review. Members may be eligible for Renewable Energy Certificate (REC) aggregation pursuant to New Hampshire Code of Administrative Rules, CHAPTER PUC 2500 ELECTRIC RENEWABLE PORTFOLIO STANDARD Please contact NHEC for more information or visit our web at nhec.com. Upon notification to NHEC by Member that the project is complete, final inspection by a NHEC Representative will be scheduled to verify system operation and to install the proper NET meter and /or REC meter. 4 MUTUAL INDEMNITY AGREEMENT (per NHEC T&C Section X.2.11) Each Party shall hold harmless, and indemnify the other Party and its directors, officers, agents and employees against any and all loss, liability, damage, or expense, including any direct, indirect or consequential loss, liability, damage, or expense, but not including attorneys fees unless awarded by a court of competent jurisdiction, for injury or death to persons, including employees of either Party, and damage to property, including property of either Party, arising out of or in connection with intentional, willful, wanton, reckless or negligent conduct regarding (a) the engineering, design, construction, maintenance, repair, operation, supervision, inspection, testing, protection or ownership of the Party s facilities, or (b) The making of replacements, additions, or improvements to, or reconstruction of, the Party s facilities. However, neither Party shall be indemnified hereunder for any loss, liability, damage, or expense resulting from its sole negligence or willful misconduct. Notwithstanding the indemnity provisions contained herein, except for a Party s willful misconduct or sole negligence, each Party shall be responsible for damage to its own facilities resulting from electrical disturbances or faults. 5 Renewable Energy Certificates Renewable Energy Certificates ( RECs ) are created by state law and are part of a regulatory system designed to create a financial market which recognizes, quantifies and permits the purchase and sale of the environmental value of producing electricity using renewable sources, such as wind, sun, biomass, or landfill gas. One REC represents the environmental value of a megawatt-hour ( MWh ) of renewable generation. In this way, the owner of a renewable power generator is rewarded with an additional product which it can sell for each MWh of renewable energy it produces. The generator s electricity is either used by the generator s owner, or in larger scale facilities, is sold to the power grid, where it is in price competition with all other electricity sources. Meanwhile, the RECs associated with those same MWhs of generation can be sold separately. While anyone can purchase RECs, most are purchased by electric utilities which are required by state law to own predefined quantities of RECs tied to a percentage of their total annual electricity sales (called the Renewable Portfolio Standard, or RPS ). NHEC is a purchaser of RECs. In addition to its RPS obligations, NHEC has a corporate policy to be more environmentally-friendly than the law requires. This policy encourages the purchase of RECs as a way of helping the development of renewable generating resources. NHEC acquires RECs from a variety of sources, including utility-scale wind farms (Lempster Wind Farm, for example) and from our members who install net metered renewable energy sources at their homes and businesses. A net meter is a special meter that subtracts the amount of energy that flows to NHEC s lines when your generator is producing more than you need from the electricity supplied by NHEC when your generator is producing less that you need. The creation of RECs requires a regulatory process with the New Hampshire Public Utilities Commission (NHPUC). The NHPUC process is governed by statute and rules which can be found at the following websites: (statute) (rules) The regulatory process to qualify a renewable generator for production of RECs includes an application which must be completed and filed with the NHPUC for approval. Additionally, when a renewable resource is net metered, referred to as a Customer Sited Source, it must also have an approved monitor. NHEC has been approved as a monitor. Among other responsibilities, to monitor a Customer Sited Source, NHEC must install one of its meters to record the amount of electric energy the resource generates (a generator meter ), routinely read and maintain the generator meter, and report to the NHPUC on a regular basis. NHEC charges a Monitoring Fee which, please refer to our website for the current fee. The bills you receive from NHEC are based on kilowatt-hours ( kwh ) of usage. A REC is equal to the environmental attributes of a megawatt-hour ( MWh ) of generation. It takes 1,000 kwh to make a MWh. Unfortunately, the regulatory process which governs RECs does not recognize or allow the sale of renewable generation in increments less than one MWh. Accordingly, partial RECs cannot be counted and traded. Therefore, your generator must produce 1,000 kwh within a calendar year before a REC will exist. One way to bypass this restriction is to allow NHEC to aggregate (or combine) your RECs with other similar RECs from other members. As a member who is planning to install a renewable energy source which will be net metered, you have five choices regarding the RECs your energy source will produce: A. NHEC monitors generation for informational purposes only. In addition to inspecting the interconnection and installing a net meter on your account, NHEC would install a meter to record the electric energy produced by your renewable system. No application would be made to the NHPUC. NHEC would provide you with an annual report of your generation. NHEC will charge you a monthly Monitoring Fee (currently $11 per month). Under this option, without regulatory reporting, your system will not create RECs. If this is your choice, please mark an X at Option A of the Renewable Energy Certificate Member Agreement. 6 B. Allow NHEC to have the RECs. In addition to inspecting the interconnection and installing a net meter on your account, NHEC would install a meter to record the electric energy produced by your renewable system. NHEC would complete an application, with your assistance, to be filed at the NHPUC for their approval of the RECs. NHEC would report the energy generation information to the NHPUC in accordance with the law, rules and regulations. NHEC would provide you with an annual report of your generation. NHEC would not charge the monthly Monitoring Fee. Under this option, you would be helping NHEC meet its RPS requirements, thus reducing the costs included in the Co-op Power Charge on your and your neighbors bills. If this is your choice, please mark an X at Option B of the Renewable Energy Certificate Member Agreement. C. Sell the RECs to NHEC. Just like Option B above, NHEC would inspect the interconnection, install the net meter, install a meter to record the generation produced by the renewable source, complete (with your assistance) the NHPUC application and report the annual generation information to the NHPUC and to you. NHEC will pay you for the RECs your renewable source generates in accordance with the terms of the attached agreement. NHEC will charge you the monthly Monitoring Fee. If this is your choice, please mark an X at Option C of the Renewable Energy Certificate Member Agreement. D. Sell the RECs to another entity. Just like Options B and C above, NHEC would inspect the interconnection, install the net meter, install a meter to record the generation produced by the renewable source and report the annual generation information to the NHPUC and to you. NHEC would not complete the NHPUC application; that would be your responsibility. NHEC will utilize the New England Power Pool Generation Information System to record and transfer the RECs to the entity you designate. Any contract between you and that other entity would be your responsibility to arrange. It will be important for you to keep NHEC informed regarding the receiving entity including who that entity is, quantity of RECs to be transferred and under what circumstances the contract ends. NHEC will charge you the monthly Monitoring Fee. If this is your choice, please mark an X at Option D of the Renewable Energy Certificate Member Agreement. E. Do nothing. Install your system. Properly interconnect it with NHEC, including following all of the requirements of the enclosed Interconnection Agreement. NHEC will inspect your system s interconnection and install a net meter on your account but will not install a meter on your generation output. You will be billed the net (or difference between your usage and your generation) on a monthly basis. Under this option, without metering and regulatory reporting, your system will not create RECs. This is the default option that we will assume you are electing unless we receive a Renewable Energy Certificate Member Agreement from you indicating you elect one of the other options above. Please contact NHEC and let us know this is your choice. Note that adding the required generator meter necessary for any of the other options at a later date may be considerably more complicated and expensive than including a generator meter at initial installation of your system. Please note that although NHEC has used its best efforts to be all-inclusive in its list of options above, this is an ever-changing marketplace and other options and state rules may apply in the future. In all cases in which NHEC needs to install a generator meter to record your generation output (all except Option E above), your installer needs to include a generator meter socket in the installation. We ask that you complete, sign and return the attached Renewable Energy Certificate Member Agreement. If we do not receive a completed and signed Renewable Energy Certificate Member Agreement, we will assume you have chosen Option E, not to have NHEC monitor your system for RECs, and will not install a generator meter to measure the output of your system. Regardless of which option you choose regarding RECs, it is important and necessary for you to sign, date, and return the Net Metering Interconnection Application. We cannot connect the proper net meter or begin giving you credit for any generation in excess of your current month s usage until we receive this signed document. 8 RENEWABLE ENERGY CERTIFICATE MEMBER AGREEMENT THIS AGREEMENT is hereby entered into this day of, ( Effective Date ) between New Hampshire Electric Cooperative, Inc. (herein NHEC ), having principal offices at 579 Tenney Mountain Highway, Plymouth, NH and its member, with account number (herein Member) (collectively herein the Parties ). Whereas, Member has installed, or is in the process of installing, solar photovoltaic, wind or other renewable electric generation equipment at its service location as a member of NHEC ( Customer Sited Renewable Resource ) as described in Appendix A. Whereas, NHEC desires to facilitate its member s renewable generation activities and desires to obtain RECs and encourage renewable generation in a manner most beneficial to all it members. NHEC has received New Hampshire Public Utilities Commission ( NHPUC ) approval as an Independent Monitor as that term is defined by the NHPUC rule Now, therefore, in accordance with the foregoing and in consideration of the mutual promises and agreements set forth herein, NHEC and Member agree to the following provisions. 1. Metering Member will install or cause to be installed a meter socket at an external, reasonably accessible location electrically connected in such a way as to measure the electrical energy produced by the Customer Sited Renewable Source. NHEC will install, maintain and read revenue-quality meters which meet the regulatory requirements to record the generation of the Customer Sited Renewable Source. 2. Member Options Member agrees to the following option (as indicated by marking an X at one option below): A. NHEC will charge, and Member will pay, a monthly Monitoring Fee (Please refer to NHEC s current schedule of Fee s, Charges & Rates for the current monitoring fee) as applicable at the time of billing. This fee will be charged as part of Member s normal billing from NHEC. This fee is subject to change by the NHEC Board of Directors. The applicable fee can be found in NHEC Schedule of Fees and Charges. NHEC will provide the Member with an annual report of the generation of the Customer Sited Renewable Source. Under this option, no application or reporting will be made to the NHPUC; therefore, no Renewable Energy Certificates are created. The collection of data and reporting is for informational purposes only. B. NHEC, with cooperation and assistance from Member, will complete and file an application with the NHPUC to request certification of the Customer Sited Renewable Source for production of RECs. Once approved by the NHPUC and in accordance with the law, rules and regulations, at least annually NHEC will report the generation of the Customer Sited Renewable Source to the NHPUC, the New England Power Pool Generation Information System ( GIS ) and the NHEC Residential Solar PV Interconnection Application rev. 01/16 Page 8

9 Member. NHEC will retain ownership of the RECs reported. NHEC will not charge Member the Monitoring Fee. Member agrees to forfeit rights to market or advertise the Customer Sited Renewable Resource s host facility as being powered by a renewable, alternative, clean or environmentally friendly source, in accordance with applicable laws regarding REC ownership and retirement. Member warrants that it has not sold the RECs to any other entity. C. NHEC will charge, and Member will pay, a monthly Monitoring Fee (Please refer to NHEC s current schedule of Fee s, Charges & Rates for the current monitoring fee) as applicable at the time of billing. This fee will be charged as part of Member s normal billing from NHEC. This fee is subject to change by the NHEC Board of Directors. NHEC, with cooperation and assistance from Member, will complete and file an application with the NHPUC to request certification of the Customer Sited Renewable Source for production of RECs. Once approved by the NHPUC and in accordance with the law, rules and regulations, at least annually NHEC will report the generation of the Customer Sited Renewable Source to the NHPUC, the New England Power Pool Generation Information System ( GIS ) and the Member. NHEC will retain ownership of the RECs reported. Member agrees to forfeit rights to market or advertise the Customer Sited Renewable Resource s host facility as being powered by a renewable, alternative, clean or environmentally friendly source, in accordance with applicable laws regarding REC ownership and retirement. Member warrants that it has not sold the RECs to any other entity. Annually after the annual report to the NHPUC has been completed, NHEC will pay to Member, or credit Member s electric service account, the Applicable REC Payment Price (see Article 5 for definition) for each REC produced (measured in whole megawatt-hours of generation only, in accordance with NEPOOL GIS rules). D. NHEC will charge, and Member will pay, a monthly Monitoring Fee (Please refer to NHEC s current schedule of Fee s, Charges & Rates for the current monitoring fee) as applicable at the time of billing. This fee will be charged as part of Member s normal billing from NHEC. This fee is subject to change by the NHEC Board of Directors. It is Member s responsibility to complete and file the application with the NHPUC to request certification of the Customer Sited Renewable Source for production of RECs. NHEC will provide information in its possession to assist Member with application, if needed. Member will provide NHEC with a copy of the NHPUC s communication regarding certification of the Customer Sited Renewable Source. NHEC shall be under no obligation to provide data or reports until such NHPUC communication has been received to assure compliance with applicable laws, rules and regulations. If Member is selling or otherwise transferring ownership of the RECs to another entity, Member shall notify NHEC regarding that entity s identity, quantity, term and any other information reasonably requested by NHEC in order for NHEC to transfer Member s RECs to the other entity utilizing the NEPOOL GIS in accordance the applicable laws, rules and regulations. NHEC will act only in accordance with information provided in writing by Member. Member must notify NHEC regarding the entity or any changes thereof at least 45 days before transfer is to be made. The accuracy and timeliness of all such information (which may affect the accuracy and timeliness of transfers which are made in the NEPOOL GIS and may affect the value, if any, of such transactions) shall be solely the Member s responsibility. 3. Term The Term of this Agreement shall begin on the Effective Date and continue perpetually until either Party provides the other Party with 90 days written notice to terminate this Agreement, or until Member terminates his electric service account with NHEC for service at the location of the Customer Sited Renewable Source. 10 4. Additional Member Responsibilities Member shall notify NHEC of its intent to change its option as determined in Article 2. Member and NHEC shall execute a replacement Agreement when such a change is made. Member shall notify NHEC of any intention to transfer ownership of the service location (for example, if the Member advertises or otherwise lists the property for sale). Member shall notify NHEC of any changes to equipment relative to the Customer Sited Renewable Source including, but not limited to, increase in capacity, removal or major renovation. 5. Applicable REC Payment Price Annually, NHEC will determine prices it is willing to pay for RECs in accordance with this Agreement. This Applicable REC Payment Price will be based, in part, on the type of generation (solar, wind) and, therefore, on Class of REC it is certified as by the NHPUC. The Applicable REC Payment Price shall be valid for a given calendar year only. IN WITNESS WHEREOF, and intending to be legally bound, the Parties have executed this Agreement by their undersigned duly authorized representatives as of the Effective Date hereof.
