3 5 STAR Premium Guarantee The guarantee is extended to 5 years in total by registration of an installation and the use of lamps conforming to IEC Standard. Please complete the registration document a forward within 30 days of commissioning the installation to Hüco. The registration form is available for download at Guarantee The guarantee covers all High Performance ballasts in HC or HS housings, and Hüco transformers. The equipment must be installed and operated in accordance with the manufacturers recommendations. In the event of a complaint Hüco electronic GmbH will provide a free repair or replacement or a credit for those products which can be demonstrably shown to have failed within the relevant time period due to a component or manufacturing. Legal rights are not affected and are independent of the warranty. Hüco electronic GmbH reserves the right to decide on the authorisation of a claim. So it is then necessary to send the failed equipment (for defect analysis) and a copy of the registration form in each case. The million fold use of Hüco ballasts by notable lighting manufacturers confirms that our product philosophy is in keeping with the requirements of the international market. 5 STAR Premium Guarantee for registered lighting systems The 5 STAR Premium Guarantee extends the guarantee for the functionality of all High Performance ballasts in HC or HS housings, and Hüco transformers in a registered lighting installation for a further 2 years to a total of 5 years. This is done by a simple registration process. No specific lamp brands are stipulated, other than the obligation to use lamps which conform to IEC-Standard. Accordingly your choice of replacement lamps is not restricted. The 5 year Premium Guarantee begins with the commissioning and registration of the installation. 3 STAR Comfort Warranty for all products 3 STAR Comfort Warranty for all products is the new name for the existing 3 year guarantee. It consists of 2 obligatory years and a special extra year s warranty. 3

4 HÜCO Electronic Ballasts With regard to the increasing energy costs in the future, the system Electronic Ballast (Ballast) and Fluorescent is the best illumination solution when considering the economic, conveniece and environmental aspects. HÜCO offers a wide range of electronic ballasts in various versions for the different kinds of fluorescent lamps. The development of customer specific solutions for their particular problems is as important to us as the continious development of these ballasts in line with changing market needs. Consequently, the maintenance costs are not as high due to longer exchange intervals of the lamps. Apart from the economy the use of full-electronic ballasts has some other important advantages: Ballasts with active PFC provide a constant luminous flux for a wide input voltage range and therefore guarantee a constant lighting level which does not depend on fluctuations in the mains voltage. Furthermore, the lamp is constantly supplied and thus contributes to a longer life-span of the lamp. When using the Multipower-Ballast it is no longer necessary to have different electronic ballasts for different lamp types on stock, because this Ballast can operate alternatively different lamps. Consequently, it is easier to handle the logistics and there is less capital tied-up in stock There is an increasing demand of convenient solutions in the range of illumination, in particular with regard to the dimming. If the customer asks also for high economy, the dimmable HÜCO ballasts for energy saving fluorescent lamps are the best solution. The compact shape makes it possible to use the Ballast for various applications. In addition, HÜCO Ballasts have the advantage to effect an independent illumination planning regarding the question of dimming. This is because nearly the complete range of DIM-Ballasts has the same dimensions as the non-dimmable Ballasts. 5 Application Sample: Ballast only without lamp available Minipower Ballasts For some time now HÜCO has monitored the development of the existing miniature or low-cost electronic ballasts on the market. This market research which was carried out in advance of the development of the Huco Mini series showed a high proportion of lighting manufacturers do not see their needs fulfilled by the low-cost ballasts currently available on the market. In many cases low-cost means just low-value in the components and the circuit design. The information indicated in the data sheets of the manufacturer regarding life time and reliability is often nowhere near those achieved in practise. In some cases the low-cost ballast will quickly become high-cost due to maintenance and replacement costs. Typically such ballasts often have an unsuitable ambient temperature of 40 or 45 C, no constant power over the permitted mains voltage range, insufficient pre-heating of the cathodes, etc. For the solution to these problems we have developed the HÜCO Mini series. The solution. Mini Series or Mini i (integrated socket) All ballasts are based on our Multipower Technology of which we have over million already in use and is especially suited to the smaller configuration of Mini ballasts which are also controlled by digital ASIC.( Application Specific Integrated Circuit) technology. Temperature The maximum ambient temperature is 50/55 C, so the ballasts can be installed in small fittings which are inclined to generate more heat. Lifetime The life time is hours with a maximum ambient temperature of 50/55 C and failure rate 0 %. Due to the low power loss of the ballasts, typically,5w,there will be a lower temperature inside many luminaries, resulting in a lifetime of hours with ambient temperature of ta maximum -0 C. Constant Output and emergency operation When operating in AC, the lamp power will be maintained at +/- 5 % constant; so the voltage variations in the range of V do not impact directly on light output. In emergency operation the lamp power reduces in proportion to the input voltage. In case of a voltage of 76V AC the ballast reduces the lamp power by approx. 50 % and so central battery systems can be installed with considerably smaller battery capacities. Lifetime of lamps All ballasts are warm start ballasts. The lamps are pre-heated and operated according to EN 602. Thus a long lamplife is assured; additionally the ballasts exhibit a particularly quick start. Fittings with class II The ballasts do not require an earth connection and so are suitable for the incorporation in fittings with class II. Housings and fixing The housings are manufactured from robust PC/ABS and have a additional side-mount option which gives more scope for the fitting designer. Safety All Mini s are tested by VDE for fulfilment of the safety standards and are accordingly VDE marked. Furthermore, the ballasts have a safety shutdown on detection of EOL ( end of life) of the lamp. 5

93 Various markings of electronic control gear ENEC test mark The new European safety mark for lamps is valid in the whole of Europe. The related number between and 6 refers to the respective testing laboratory, the 0 to the VDE. VDE test mark Products that carry this VDE symbol meet the safety requirements according to EN 6046 (transformers) or EN 6028 (electronic ballasts). VDE-EMV test mark For equipment, which corresponds to the standards for electromagnetic compatibility (EMV, disturbance transmission, immunity from disturbance). Independent Convertor The transformer can be fitted outside the lamps without an additional housing. Non-inherently short-circuit proof convertor Short-circuit proof convertor which incorporates a protective device which opens the circuit or reduces the current in the input circuit or the output circuit when the convertor is overloaded or short-circuited. Class II Luminaires in accordance with EN 6058 An earth connection is not required. A temperature - protected convertor The overtemperature protection ensures that the housing temperature stipulated in the triangle is not exceeded even in unusual operating conditions. Voltage Operation HÜCO ballasts are suitable for DC operation. The voltage range in which ignition can be guaranteed depends on the configuration of the ballast. Further information can be found on the product description pages. May be used for emergency lighting applications in accordance with VDE 008. Extra costs for emergency needs are not incurred. The battery load is significantly smaller when a HÜCO ballast is used in contrast to conventional emergency lighting systems. This means either a longer emergency lighting time or a smaller battery design. Please notice that HÜCO ballasts got a programmed start. After mains interruption the restart time will be,5s in any case. The ballast are not suitable for emergency application with restart in less then,5s. Life Span Due to the stable operation at High Frequency Voltage, the lamp load is lower. This results in a longer lifespan of the lamp by up to 50% and thereby a reduction in purchase, replacement and maintenance costs. Constant Output HÜCO electronic ballasts with an active harmonic wave filter (Active PFC) ensure a constant power output in the range of 8V to 254V and guarantee a regular lighting level irrespective of voltage fluctuations. As a result there is a constant power supply to the lamp, thus contributing to the increased life of the lamp. (ill. EVG ) Voltage Supply HÜCO electronic ballasts are suitable for all European mains voltages from 220V - 240V. Light Output / The High Frequency operation achieves the stated light output at a 0% lower lamp power. (ill. EVG 2) Luminous Flux Drop A lower luminous flux drop is achieved throughout the entire life of the lamp due to High Frequency operation in contrast to conventional operating systems. High Frequency Operation As lamps react very quickly when 50 Hz current is being used, there is the usual flickering due to the fact that each time the voltage is zero on the sine-wave, the lamp has to be restarted. When HÜCO ballasts are used the flickering of the lamp will be reduced by more than 0%. Flickering and stroboscopic effects are barely noticeable. Start Process Warm start : These ballasts have a warm start which ensures the ignition of the lamps is preceded by optimal preheating of the electrodes. This type of ballast is for areas where the light has to be frequently switched on and off or where this option is desirable (more than 5 cycles per day) Loss There is approximately 75% less power loss with HÜCO ballasts in comparison to conventional ballasts. 4 Subject to technical modification

96 HLC Technology (HÜCO Control) For several years HÜCO has utilised HLC technology (HÜCO Control) in dimmable electronic ballasts. Due to its superior performance this technology is also incorporated in the new generation of Multi- ballasts.. HÜCO electronic ballast with HLC technique The HLC technology makes it possible that the ignition circuit is quasi switched off after ignition of the lamp. The lamp current is then distributed to both ends of the cathode. Advantages: Due to the distribution of the lamp current to both cathodes, the temperature is distributed equally. In comparison to other Cutoff technologies the thermal stress at the cathodes is lower and cathodes failures rates are minimized. The cathode voltage drop at the lamp is reduced. The result is a lower lamp current without loss of luminous flux: 2. Electronic ballast with preheating cut-off If you consider this technique, the preheating circuit is cut off after ignition of the lamp and the complete lamp current flows into one end of the cathode. This technology is identical with the operation of a lamp at a KVG or a WG.(Wire wound) Vorteile: Simple circuit for the limitation of power loss. Nachteile: The complete lamp current is conducted by one cathode pin and therefore the cathode is heated up on one side. The ensuing thermal stress could result in failure of the cathode. The cathode voltage drop at the lamp increases, as a consequence the efficiency of the lamp decreases. The comparison We asked an independent lamp manufacturer to compare the HÜCO HLC technology with an electronic ballast with preheating cut-off, in order to have verifiable figures for these statements. In the test HÜCO Multi- ballast x8 32 W and a comparable ballast with cut-off technology were used. The most widely used ballast type, 2x26W TC-TEL, was tested. The table below shows that the HÜCO ballast with a lamp power of 23,8 W provides a luminous flux of 754 lumen. This means in comparison: Watt lower lamp losses at a higher luminous flux! Or in other words: At nearly the same luminous flux a lower lamp current of 3 ma! The effect is that the lamp is not used at such high temperatures and therefore has a longer life-span and can be used for various difficult applications. Reference measurements by HÜCO customers can verify this! 99 DALI dimmable electronic ballasts DALI is the abbreviation for Digital Addressable Lighting Interface - The new standard for controllable lighting systems As a leading manufacturer of Electronic Ballasts and initial member of the AG DALI, HÜCO has contributed to developing a new standard for lighting control. This new standard provides more comfort and flexibility for lighting systems and at the same time reduces system costs. The function of DALI ballasts is superior to the analog (-0 V) controlled electronic ballasts. Despite the parallel wiring of the DALI electronic ballasts, they can be controlled singly (switching on and off directly via the control line without additional relay) and can be combined in banks and scenes. In addition, DALI ballasts offer the possibility of checking the operating condition of the lamp and the electronic ballast. 101 Lifetime of HÜCO ballasts Increase life time of your fitting! The life time of a fitting depends on the ambient temperature, the quality of the assigned components and the design. The maximum ambient temperature is governed by the application, so the technical designer can affect the quality of the fitting only by careful selection of components and a conscientious design. A critical and life time determining component is the electronic ballast. Just as the life time of the fitting is determined by the ballast, so the life time of the ballast is determined by the assigned electrolytic capacitors. Due to the expecting life time of the Elko, the life time of the ECG will reach at least h with tc max, except for few exceptions. Whereby the indicated value refers to a maximum failure rate of 0%, operated with tc max. For Multipower ballasts, the measurement was done with max. allowed lamp. That means, e.g. a Multipower fitting for 26-42W reach the maximum tc point temperature with a 42W lamp and with 26W lamp the tc point temperature is 0 C lower; then the life time for 26W will be doubled. How does HÜCO realize high life time and reliability? Electrical concept: To resist against short- and long- term over voltage, we use more robust components and an additional over voltage protection. The over voltages on mains (Surge and Burst) are relatively well known today and converted into a normative requirement. HUECO ballasts are fully tested in accordance with the standard and comply with the general requirements. Additionally HUECO ballasts except the Minipower product range are resistive against over voltage, 320V for 48h and 350V for 2h (e.g. neutral interruption). Mechanical concept: The insensitivity to mechanical loads such as vibrations and impacts is reached by the employment of SMD components. SMD s do not have long connection legs and a lower weight than discrete components. SMD s are soldered or stuck on the printed circuit board. Electronic transformers of HUECO have additionally double sided printed circuit boards. This guarantees a further mechanical security for specially loaded components like terminal blocks and output transformers. Thermal concept: Application example: By a skilful luminairy construction it is possible to reduce the tcpoint temperature and the Elko temperature in such a way which will disburse themselves this by the rise of the life span. Is it possible as in the example to realise a temperature reduction of 0 C, the life span of the EVG will increase approximately to the double. Also in this point HÜCO went a clear, but not very easy way. As heat affects the life time negatively and heat is the result of power losses, the best way is to reduce the power losses on a minimum! Due to our experience of many years in the development of ballasts, we have succeeded in reducing the power losses by more than half. For example a 2x 26W TC-TEL ballast has power losses of only 3,5W at a power consumption of 53W. This corresponds to an efficiency of approx. 3%. Further, only quality components are used and the technical specification of the components is never exceeded. With HÜCO, particularly temperature-sensitive components (e.g. electrolytic capacitors) are positioned in such a way that they have sufficient clearance from hot components such as coils. Which factors determine the life time of a EVG? The life time of a ballast will be influenced by the electrical- mechanical and thermal- stress, for example high ambient temperature, voltage peaks on mains and vibrations. 0

102 Electronic Transformers Connection - Primary Side Some Hüco transformers provide a loop in loop out facility on the primary side of the transformer, eliminating complex wiring and at the same time reducing installation costs. Strain relief is also provided for both cables. Connection - Secondary Side All HÜCO transformers up to 50VA permit the connection of cables of up to 2,5 mm 2 core cross-section and on a 20VA transformer up to a maximum of 4mm 2. On 05VA types up to 3 lamps can be fitted directly to the 6-way terminal block. Dimmer operation Electronic transformers can be operated with standard trailing edge phase-cut dimmers but when a dimmer is used, the power consumption of the dimmer will cause a reduction in the maximum achievable brightness. (ill. ET ) Interference Suppression All HÜCO transformers meet EMC guidelines. Silent Running With HÜCO transformers are used only highly developed electronic construction units. Thus annoying humming of conventional transformers is void. Light weight and compact shape HÜCO transformers are characterised, depending upon equipment specification, by a small weight from ca. 40g to ca. 270g and very compact dimensions. Overload and Short Circuit Protection HÜCO transformers have integrated overload and short-circuit protection. Once the short-circuit or the overload has been removed, they will automatically switch on again. Exception: 20VA transformer. The electronic protection circuit on the 20VA transformer is reset after the mains supply has been interrupted for at least > 3 sec. Overtemperature Protection Due to low power loss, HÜCO transformers have ample temperature reserves. Most types are automatically switched off by a reversible electronic over-temperature sensor as soon as a specified temperature is exceeded. After a short cooling-down period the transformer will automatically switch on again. Ambient Temperature HÜCO transformers operate trouble-free in a temperature range of -20 C to 50 C or 60 C. Unhoused configurations can operate in higher ambient temperature ranges. Further information is available on request from our Customer Service Personnel. Loss The minimal power loss of HÜCO transformers guarantees a sure and lasting operation, even under thermally unfavourable conditions. Cable Strain Relief For those types of transformers designed for domestic and commercial installation there is an interchangeable cable strain relief available so that all standard cable types (flat, round, NYM) may be connected normally. (ill. ET 2) No-Load Protection HÜCO transformers can be run without secondary load (missing or defective lamp) for an unlimited time. Abb. ET Dimmer operation Recommended Mains Voltage Range The maximum recommended Mains Voltage is rated voltage 230V +0%. For application in countries which do not use 230V, compatible transformers are available. Harmonic Content of the Mains Supply HÜCO products meet EMC guidelines. Leading edge dimming Trailing edge dimming Protection All HÜCO independent converters are manufactured to Class II and are suitable for operating in Class II and III luminaires. Softstart HÜCO transformers have an electronic starting current restriction which enables a start without damaging the lamp (softstart). The lifespan of the lamp is therefore not reduced, particularly if it is frequently switched on and off. Abb. ET 2 Part Load Operation In contrast to conventional transformers, the output voltage varies very little when different loads are used. A minimum load is however required in order to make the circuit active. 103 Sales and Supply Conditions HÜCO electronic GmbH Range lighting electronics, Status 05/2002 I. General. The scope of deliveries and/or services (hereinafter referred to as Supplies ) shall be determined by the written declarations of both Parties. General terms and conditions of the Purchaser shall apply only if and when expressly accepted by the supplier or the provider of services (hereinafter referred to as Supplier ) in writing. 2. The Supplier herewith reserves any industrial property rights and/or copyrights pertaining to its cost estimates, drawings and other documents (hereinafter referred to as Documents ). The Documents shall not be made accessible to third parties without the Supplier s prior consent and shall, upon request, be returned without undue delay to the Supplier if the contract is not awarded to the Supplier. Sentences and 2 shall apply mutatis mutandis to documents of the Purchaser; these may, however, be made accessible to third parties to whom the Supplier may rightfully transfer Supplies. 3. The Purchaser shall have the non-exclusive right to use standard software, provided that it remains unchanged, is used within the agreed performance parameters, and on the agreed equipment. The Purchaser may make one back-up copy without express agreement. 4. Partial Supplies shall be allowed, unless they are unreasonable to accept for the Purchaser. II. Prices and terms of payment. Prices shall be ex works and exclude packaging; value added tax shall be added at the then applicable rate. 2. If the Supplier is also responsible for assembly or erection and unless otherwise agreed, the Purchaser shall pay the agreed remuneration and any incidental costs required, e. g. travel costs, costs for the transport of tools and equipment, and personal luggage as well as allowances. 3. Payments shall be made free Supplier s paying office. 4. The Purchaser may set off only those claims that are undisputed or against which no legal recourse is possible. III. Retention of title. Items pertaining to the Supplies ( Retained Goods ) shall remain the property of the Supplier until each and every claim the Supplier has against the Purchaser on account of the business connection has been fulfilled. If the combined value of the security interests of the Supplier exceeds the value of all secured claims by more than 20 %, the Supplier shall release a corresponding part of the security interest if so requested by the Purchaser. 2. For the duration of the retention of title, the Purchaser may not pledge the Retaine Goods or use them as security, and resale shall be possible only for resellers in the ordinary course of their business and only on condition that the reseller receives payment from its customer or makes the transfer of property to the customer dependent upon the customer fulfilling its obligation to effect payment. 3. The Purchaser shall inform the Supplier forthwith of any seizure or other act of intervention by third parties. 4. Where the Purchaser fails to fulfil its duties, including failure to make payments due, the Supplier shall be entitled to cancel the contract and take back the Retained Goods in the case of continued failure following expiry of a reasonable time set by the Supplier; the statutory provisions that a time limit is not needed remain unaffected. The Purchaser shall be obliged to surrender the Retained Goods. IV. Time for supplies; delay. Times set for Supplies can only be observed if all Documents to be supplied by the Purchaser, necessary permits and releases, especially concerning plans, are received in time and if agreed terms of payment and other obligations of the Purchaser are fulfilled. Unless these conditions are fulfilled in time, times set shall be extended appropriately; this shall not apply where the Supplier is responsible for the delay. 2. If non-observance of the times set is due to force majeure such as mobilization, war, rebellion or similar events, e. g. strike or lockout, such time shall be extended accordingly. 3. If the Supplier is responsible for the delay (hereinafter referred to as Delay ) and the Purchaser demonstrably suffered a loss therefrom, the Purchaser may claim a compensation as liquidated damages of 0.5 % for every completed week of Delay, but in no case more than a total of 5 % of the price of that part of the Supplies which because of the Delay could not be put to the intended use. 4. Purchaser s claims for damages due to delayed Supplies as well as claims for damages in lieu of performance exceeding the limits specified in No. 3 above shall be excluded in all cases of delayed Supplies even upon expiry of a time set to the Supplier to effect the Supplies. This shall not apply in cases of mandatory liability based on intent, gross negligence, or due to injury of life, body or health. Cancellation of the contract by the Purchaser based on statute shall be limited to cases where the Supplier is responsible for the delay. The above provisions do not imply a change in the burden of proof to the detriment of the Purchaser. 5. At the Supplier s request the Purchaser shall declare within a reasonable period of time whether the Purchaser cancels the contract due to the delayed Supplies or insists on the Supplies to be carried out. 6. If dispatch or shipment is delayed at the Purchaser s request by more than one month after notice of the readiness for dispatch was given, the Purchaser may be charged, for every month commenced, storage costs of 0.5 % of the price of the items of the Supplies, but in no case more than a total of 5 %. The parties to the contract may prove that higher or, as the case may be, lower storage costs have been incurred. V. Transfer of risk. Even where delivery has been agreed freight free, the risk shall pass to the Purchaser as follows: a) if the Supplies do not include assembly or erection, at the time when the Supplies are shipped or picked up by the carrier. Upon request of the Purchaser, the Supplier shall insure the Supplies against the usual risks of transport at the expense of the Purchaser; b) if the Supplies include assembly or erection, at the day of taking over in the own works or, if so agreed, after a fault-free trial run. 2. The risk shall pass to the Purchaser if dispatch, shipping, the start or performance of assembly or erection, the taking over in the own works or the trial run is delayed for reasons for which the Purchaser is responsible or if the Purchaser has otherwise failed to accept the Supplies. VI. Assembly and erection Unless otherwise agreed in writing, assembly/erection shall be subject to the following provisions:. The Purchaser shall provide at its own expense and in good time: a) all earth and construction work and other ancillary work outside the scope of the Supplier, including the necessary skilled and unskilled labour, construction materials and tools, b) the equipment and materials necessary for assembly and commissioning such as scaffolds, lifting equipment and other devices as well as fuels and lubricants, c) energy and water at the point of use including connections, heating and lighting, d) suitable dry and lockable rooms of sufficient size adjacent to the site for the storage of machine parts, apparatus, materials, tools, etc. and adequate working and recreation rooms for the erection personnel, including sanitary facilities as are appropriate in the specific circumstances. Furthermore, the Purchaser shall take all measures it would take for the protection of its own possessions to protect the possessions of the Supplier and of the erection personnel at the site, e) protective clothing and protective devices needed due to particular conditions prevailing on the specific site. 2. Before the erection work starts, the Purchaser shall make available of its own accord any information required concerning the location of concealed electric power, gas and water lines or of similar installations as well as the necessary structural data. 3. Prior to assembly or erection, the materials and equipment necessary for the work to start must be available on the site of assembly/erection and any preparatory work must have advanced to such a degree that assembly/erection can be started as agreed and carried out without interruption. Access roads and the assembly/erection site itself must be level and clear. 4. If assembly, erection or commissioning is delayed due to circumstances for which the Supplier is not responsible, the Purchaser shall bear the reasonable costs incurred for idle times and any additional travelling of the Supplier or the erection personnel. 5. The Purchaser shall attest to the hours worked by the erection personnel towards the Supplier at weekly intervals and the Purchaser shall immediately confirm in writing if assembly, erection or commissioning has been completed. 6. If, after completion, the Supplier demands acceptance of the Supplies, the Purchaser shall comply therewith within a period of two weeks. In default thereof, acceptance is deemed to have taken place. Acceptance is also deemed to have been effected if the Supplies are put to use, after completion of an agreed test phase, if any. VII. Receiving of supplies The Purchaser shall not refuse to receive Supplies due to minor defects. VIII. Defects as to quality The Supplier shall be liable for defects as to quality ( Sachmängel, hereinafter referred to as Defects,) as follows:. All parts or services where a Defect becomes apparent within the limitation period shall, at the discretion of the Supplier, be repaired, replaced or provided again free of charge irrespective of the hours of operation elapsed, provided that the reason for the Defect had already existed at the time when the risk passed. 2. a) Claims based on Defects are subject to a limitation period of 2 months. Thi provision shall not apply where longer periods are prescribed by law according to Sec. 438 para. No. 2 (buildings and things used for a building), Sec. 47 para. (right of recourse), and Sec. 634a para. No. 2 (defects of a building) German Civil Code ( BGB ), as well as in cases of injury of life, body or health, or where the Supplier intentionally or grossly negligently fails to fulfil its obligation or fraudulently conceals a Defect. The legal provisions regarding suspension of expiration ( Ablaufhemmung ), suspension ( Hemmung ) and recommencement of limitation periods remain unaffected. b) Extension of Period of Limitation Irrespective of any other contractually or legally stipulated warranty claims, the supplier shall provide a warranty to the customer in deviation from 438 Section No. 3. of the BGB (German Civil Code) for material defects beyond the two-year limitation period until expiry of the 36-month period from delivery for the freedom of the object from material defects. The supplier shall be obligated, within the extended period of limitation, to rectify the defects in, re-supply or renew all parts or perfomances that exhibit deficiencies within the extended period of limitation. This shall be subject to the provisions that the cause of the deficiency was already present at the time of risk transfer and that the material defect was caused through the fault of the supplier. Article VIII. Nos. 3., 4. and 7. shall apply accordingly. Rectification,resupply or renewal shall be free of charge and the decision as to which of these measures or which combination of these measures is taken shall be at the discretion of the sup-plier. Further claims of the customer, in particular claims for damages or losses, rights of withdrawal or rights to price reduction or claims under a right of recourse of the customer are excluded within the period of the extended period of limitation. Claims of the customer on account of the required expenses for the purposes of subsequent performance, in particular transportation, travel and labour costs and costs of materials are also excluded. 3. The Purchaser shall notify Defects to the Supplier in writing and without undue delay. 4. In the case of notification of a Defect, the Purchaser may withhold payments to a rea-sonable extent taking into account the Defect occurred. The Purchaser, however, may withhold payments only if the subject-matter of the notification of the Defect occurred is justified beyond doubt. Unjustified notifications of Defect shall entitle the Supplier to have its expenses reimbursed by the Purchaser. 5. The Supplier shall first be given the opportunity to supplement its performance ( Nacherfüllung ) within a reasonable period of time. 6. If supplementary performance is unsuccessful, the Purchaser shall be entitled to cancel the contract or reduce the remuneration, irrespective of any claims for damages it may have according to Art. XI. 7. There shall be no claims based on Defect in cases of insignificant deviations from the agreed quality, of only minor impairment of usefulness, of natural wear and tear or Damage arising after the transfer of risk from faulty or negligent handling, excessive strain, unsuitable equipment, defective workmanship, inappropriate foundation soil or from particular external influences not assumed under the contract, or from non-reproducible software errors. Claims based on defects attributable to improper modifications or repair work carried out by the Purchaser or third parties and the consequences thereof shall be likewise excluded. 8. The Purchaser shall have no claim with respect to expenses incurred in the course of supplementary performance, including costs of travel and transport, labour, and material, to the extent that expenses are increased because the subject-matter of the Supplies was subsequently brought to another location than the Purchaser s branch office, unless doing so complies with the intended use of the Supplies.. The Purchaser s right of recourse against the Supplier pursuant to Sec. 478 BGB is limited to cases where the Purchaser has not concluded an agreement with its customers exceeding the scope of the statutory provisions governing claims based on Defects. Moreover, No. 8 above shall apply mutatis mutandis to the scope of the right of recourse the Purchaser has against the Supplier pursuant to Sec. 478 para. 2 BGB. 0. Furthermore, the provisions of Art. XI (Other Claims for Damages) shall apply in respect of claims of damages. Any other claims of the Purchaser against the Supplier or its agents or any such claims exceeding the claims provided for in this Art. VIII, based on a Defect, shall be excluded. IX. Industrial property rights and copyright; defects in title. Unless otherwise agreed, the Supplier shall provide the Supplies free from third parties industrial property rights and copyrights (hereinafter referred to as IPR ) with respect to the country of the place of destination. If a third party asserts a justified claim against the Purchaser based on an infringement of an IPR with respect to the Supplies made by the Supplier and then used in conformity with the contract, the Supplier shall be liable to the Purchaser within the time period stipulated in Art. VIII No. 2 as follows: a) The Supplier shall choose whether to acquire, at its own expense, the right to use the IPR with respect to the Supplies concerned or whether to modify the Supplies such that they no longer infringe the IPR or replace them. If this would be unreasonable to demand from the Supplier, the Purchaser may cancel the contract or reduce the remuneration pursuant to the appli-cable statutory provisions. b) The Supplier s liability to pay damages shall be governed by Art. XI. c) The above obligations of the Supplier shall only apply if the Purchaser(i) immediately notifies the Supplier of any such claim asserted by the third party in writing, (ii) does not concede the existence of an infringement and (iii) leaves any protective measures and settlement negotiations to the discretion of the Supplier. If the Purchaser stops using the Supplies in order to reduce the damage or for other good reason, it shall be obliged to pointout to the third party that no acknowledge ment of the alleged infringement may be inferred from the fact that the use has been discontinued. 2. Claims of the Purchaser shall be excluded if it is itself responsible for the infringement of an IPR. 3. Claims of the Purchaser shall also be excluded if the infringement of the IPR is caused by specifications made by the Purchaser, to a type of use not foreseeable by the Supplier or to the Supplies being modified by the Purchaser or being used together with products not provided by the Supplier. 4. In addition, with respect to claims by the Purchaser pursuant to No. a) above, Art. VIII Nos. 4, 5, and shall apply mutatis mutandis in the event of an infringement of an IPR. 5. Where other defects in title occur, Art. VIII shall apply mutatis mutandis. 6. Any other claims of the Purchaser against the Supplier or its agents or any such claims exceeding the claims provided for in this Art. IX, based on a defect in title, shall be excluded. X. Impossibility of performance; adaption of contract. To the extent that Supplies are impossible to be carried out, the Purchaser shall be entitled to claim damages, unless the Supplier is not responsible for the impossibility. The Purchaser s claim for damages shall, however, be limited to an amount of 0 % of the value of the part of the Supplies which, owing to the impossibility, cannot be put to the intended use. This limitation shall not apply in the case of mandatory liability based on intent, gross negligence or injury of life, body or health; this does not imply a change in the burden of proof to the detriment of the Purchaser. The right of the Purchaser to cancel the contract shall remain unaffected. 2. Where unforeseeable events within the meaning of Art. IV No. 2 substantially change the economic importance or the contents of the Supplies or considerably affect the Supplier s business, the contract shall be adapted taking into account the principles of reasonableness and good faith. Where doing so is economically unreasonable, the Supplier shall have the right to cancel the contract. If the Supplier intends to exercise its right to cancel the contract, it shall notify the Purchaser thereof without undue delay after having realised the repercussions of the event; this shall also apply even wherean extension of the delivery period had previously been agreed with the Purchaser. XI. Other claimes for damages. Any claims for damages and reimbursement of expenses the Purchaser may have (hereinafter referred to as Claims for Damages ), based on whatever legal reason, including infringement of duties arising in connection with the contract or tort, shall be excluded. 2. The above shall not apply in the case of mandatory liability, e. g. under the German Product Liability Act ( Produkthaftungsgesetz ), in the case of intent, gross negligence, injury of life, body or health, or breach of a condition which goes to the root of the contract ( wesentliche Vertragspflichten ). However, Claims for Damages arising from a breach of a condition which goes to the root of the contract shall be limited to the foreseeable damage which is intrinsic to the contract, unless caused by intent or gross negligence or based on liability for injury of life, body or health. The above provision does not imply a change in the burden of proof to the detriment of the Purchaser. 3. To the extent that the Purchaser has a valid Claim for Damages according to this Art. XI, it shall be time-barred upon expiration of the limitation period applicable to Defects pursuant to Art. VIII No. 2. In the case of claims for damages under the German Product Liability Act, the statutory provisions governing limitation periods shall apply. XII. Venue and applicable law. If the Purchaser is a businessperson, sole venue for all disputes arising directly or indirectly out of the contract shall be the Supplier s place of business. However, the Supplier may also bring an action at the Purchaser s place of business. 2. Legal relations existing in connection with this contract shall be governed by German substantive law, to the exclusion of the United Nations Convention on Contracts for the International Sale of Goods (CISG). XIII. Severability clause The legal invalidity of one or more provisions of this contract shall in no way affect the validity of the remaining provisions. This shall not apply if it would be unreasonable for one of the parties to continue the contract. XIV. Catalogue information Only the catalogue valid at the time of the conclusion of the contract shall apply. All previous catalogues and the information therein shall be rendered invalid by the catalogue applicable at the time of concluding the contract. All technical values of the supplier s product stated in the catalogue are average values determined from electronically-held operational data.
