1 Diesel Fuel Contract ( ) - Overview Prior to utilizing a contract, the user should read the contract in it's entirety. DESCRIPTION - Types of Delivery - Tank Wagon and Truck Transport - Product Types - Ultra Low Sulfur, Biodiesel - A supplier awarded by county for each type of delivery and for each product type. Some counties are not covered for each type of delivery. Bio-diesel is not available in some counties. - Purpose is to fill customer owned storage tanks. - Minimum delivery of 200 gal for tank wagon and 5,000 gal for truck transport. - Diesel Fuel specification is PCID 1056, 7/6/07 - Bio-Diesel specification is PCID 1107, 7/6/07 - For DOT winter blend, an anti-icing/anti-gel additive is required. Each Monday, a change notice will be issued and posted to the DGS website to provide a summary of the daily price changes. - The bid differential is fixed for the contract period. - Government entities are exempt from state and local taxes per Department of Revenue regulations. - Payment will be based upon the total fuel price on the day that the fuel delivery is made. PROCESS TO PURCHASE (COSTARS) - View contract on DGS website ( - Utilizing the Consolidated Award Sheet, locate supplier and their bid differential price for your county based upon the quantity you want (tank wagon or truck transport). - Locate latest OPIS price via the latest change notice found on the DGS website. - Add the differential and OPIS prices for total fuel price. - In some instances, suppliers may not have the capacity to accept several new accounts. The supplier should be contacted prior to placing your order. When ordering, reference the contract number and line item and also include your COSTARS member number so DGS can track all spend data to get the best prices for all.

2 CN I.1 OVERVIEW SPECIAL CONTRACT TERMS AND CONDITIONS SECTION I GENERAL INFORMATION This contract will cover the requirements of the Commonwealth of Pennsylvania ( Commonwealth ) for diesel/biodiesel fuel ( Fuel, or, collectively Fuels). I.2 ORDER OF PRECEDENCE These Special Contract Terms and Conditions supplement the Standard Contract Terms and Conditions For Statewide Contracts for Supplies STANDARD TERMS & CONDITIONS INCORPORATED BY REFERENCE. To the extent that these Special Contract Terms and Conditions conflict with the Standard Contract Terms and Conditions for Statewide Contracts for Supplies, these Special Contract Terms and Conditions shall prevail. I.3 TERM OF CONTRACT Each Contract shall commence on the effective date and expire on August 31, 2008, unless extended or renewed in accordance with Sections 1.10 and 1.11 below, respectively. I.4 PRE-BID TELECONFERENCE The Bureau of Procurement will hold a teleconference with all prospective bidders on July 24, 2007 at 2:00PM. The call in number is , Access Number * *. The purpose of this conference is to discuss the various changes to the diesel fuel solicitation and to clarify any terms and conditions in the solicitation not clearly understood. Although the teleconference is optional, the Bureau encourages supplier participation to maintain a dialogue on various diesel fuel related issues. Answers furnished during the conference are not official until verified, in writing, by the Issuing Office. I.5 BIDDING The bid price is the price differential above the OPIS Average as described in the Price Adjustment Clause. The price differential includes all transportation, delivery, handling charges, overhead, profit, and any applicable taxes, etc. The differential shall remain fixed for the entire contract period. Bids are requested by group for either Tank Wagon (TW) and /or Truck Transport (TT) delivery. Each group has a various number of counties. A bidder will offer one bid price for a particular group to supply Diesel Fuel #2 and/or one price for a particular group to supply Bio-Diesel B5 Blend. For Northampton County, bids for truck transport delivery are requested for that single county. I.6 INCURRING COSTS The Commonwealth is not liable for any costs or expenses incurred by Qualified Suppliers in the preparation of their bids. Page 1 of 6

3 CN I.7 INITIAL PRICE SUBMISSION INSTRUCTIONS Suppliers will submit their initial pricing responses utilizing the Excel worksheets on disk (floppy/cd). The Excel work book has two worksheets: one for the ultra low sulfur diesel and bio-diesel fuels and one for the additives. When completing the worksheets, Suppliers must include the following information: Price differential per gallon Supplier FIN Insert your Federal Identification Number Supplier Name Insert your company name Vendor Number Insert your assigned SAP vendor number Return a disk (with Supplier s name printed on the disk label) along with a printed hard copy of the worksheets of the completed item sheets with the signed bid in a sealed envelope. If you have any questions regarding the disk or its contents, please contact Jack Banks, at or Joel Shiffler, at I.8 AWARD Group Awards shall be made to the responsive and responsible bidder. For Diesel Fuel #2, the basis for award shall be the lowest price differential for each particular group. For Bio-Diesel, B5 Blend, the basis for award shall be the lowest price differential for each particular group. A bidder is not required to bid both fuel types in a particular group to be considered for an award of that group. The offered price for the additive and/or ultra low sulfur kerosene will not be an evaluation factor for award. I.9 OPTION TO EXTEND The Department of General Services reserves the right, upon notice to the Contractor, to extend the Contract or any part of the Contract for up to three (3) months upon the same terms and conditions. This will be utilized to prevent a lapse in Contract coverage and only for the time necessary, up to three (3) months, to enter into a new contract. I.10 OPTION TO RENEW The contract(s) or any part of the contract(s) may be renewed for an additional four (4) one-year terms by mutual agreement between the Commonwealth and the Contractor(s). If the Contract(s) is/are renewed, the same terms and conditions shall apply. I.11 LIQUIDATED DAMAGES The delivery of fuel not meeting specifications defined in PCID 1056 i.e. winter blend, may cause interruption of the proper implementation of the Commonwealth s winter roadway safety program. The Commonwealth and the awarded supplier, therefore, presume that in the event of any such interruption due to the failure to meet specifications, the amount of damage which will be sustained as $25 per business day per inoperable truck involved in the Commonwealth s winter roadway safety program. The Commonwealth and the awarded supplier further agree that, the awarded supplier shall pay such amount as liquidated damages not as a penalty. The Commonwealth shall be held responsible for roadways that are officially closed, obstructed, or impassable due to winter weather conditions and is required to releases the supplier from the liquidated damages for the day(s) of obstruction to traffic. The Commonwealth has the following option for deducting amounts due to the Commonwealth as liquidated damages: Page 2 of 6

4 CN May deduct such from any money payable to the awarded supplier or May bill the awarded supplier as a separate item. It is the responsibility of the Department of General Services to investigate instances of fuel not meeting specifications and causing interruption of the proper implementation of the Commonwealth s winter roadway safety program by gathering information from the using agency and the contractor. The Department of General Services will determine whether liquidated damages are an appropriate remedy in each instance. The Commonwealth shall notify the awarded supplier in writing of any claims for liquidated damages pursuant to this paragraph before the date the Commonwealth deducts such sums from the money payable to the awarded supplier. I.12 OPTION FOR SEPARATE COMPETITIVE BIDDING PROCEDURE The Department of General Services reserves the right to purchase supplies covered under this Contract through a separate competitive bidding procedure, whenever the department deems it to be in the best interest of the Commonwealth. The right will generally be exercised only when a specific need for a large quantity of the supply exists or the price offered is significantly lower than the Contract price. 5 CN SECTION II SCOPE OF WORK II.1 SCOPE OF SUPPLY REQUIREMENTS Supplier is required to supply any facility of the Commonwealth located in their awarded county/counties. A list of facilities is attached that indicates the number of tanks and their sizes. This list may not include all delivery locations within a county. II.2 DELIVERIES Supplier shall deliver fuel within five (5) days after receipt of a Field Purchase Order or agency notification for delivery. In an emergency situation, the Supplier shall deliver Fuel(s) within 24 hours after agency notification of delivery or as otherwise agreed to, by the using agency and the Supplier. Deliveries shall be at the tank inlets at each individual facility for each individual fuel type. Transportation terms are F.O.B. DESTINATION for all deliveries. The Minimum Truck Transport ( T.T. ) delivery quantity is 5,000 gallons. The Minimum Tank Wagon ( T.W. ) delivery quantity is 200 gallons. II.3 DELIVERY NOTES Contractor is responsible for deliveries of awarded items; however, contractor may arrange to have another company make the actual delivery subject to the same terms and conditions of the contract. The Commonwealth has a number of above ground, concrete vaulted, fuel storage tanks. Product enters a vaulted tank through a 4 port equipped with a 2 grooved male adapter. The existing adapter and overfill protection equipment does not permit full infusion of a standard delivery nozzle into the tank. Delivery vehicles are required to carry a cam-and-groove, or quick disconnect fitting adapter, (if not already equipped with one), to insure the proper connection to the tank. It is not permissible to remove the overfill protection to gain access to the tank, nor to deliver product through any other existing port on the tank. This procedure is strictly enforced to insure the integrity of the overfill mechanism, and the tank system in general. II.4 DELIVERY DOCUMENTS For tank wagon deliveries, trucks equipped with meters must make all deliveries. Meters must provide accurate, automatically printed delivery tickets indicating gallons delivered. Multi-part metered delivery tickets must be used, two copies of which must be given to the Utility Manager or authorized designee. Automatic printouts must show opening and closing readouts. An authorized representative of the Commonwealth must be present at all deliveries. The driver must obtain a signature from the Commonwealth s authorized representative verifying the readout. For winter blending, stamp or write Fuel Additized with at ratio on the delivery document. Otherwise, the agency will not accept delivery. For truck transport deliveries, computerized bills of lading, metered slips from the terminal laodings, and sealed compartment deliveries are acceptable. An authorized representative of the Commonwealth must be present at all deliveries. The driver must obtain a signature from the Commonwealth s authorized representative verifying the readout. For winter blending, stamp or write Fuel Additized with at ratio on the delivery document. Otherwise, the agency will not accept delivery. Page 4 of 6

6 CN II.5 FUEL SPECIFICATIONS The low-sulfur and ultra-low sulfur diesel fuel shall comply with Pennsylvania Commercial Item Description ( PCID ) 1056, entitled Fuel, Diesel, effective 7/6/07. The bio-diesel fuel shall be a blend by volume. These fuels shall conform to the attached PCID 1107, entitled Bio- Diesel Fuel, B100, effective 7/6/07 and the PCID 1056, entitled Fuel, Diesel, effective 7/6/07. The blend of fuels shall be accomplished by the injection blending or splash blending method. II.6 LABORATORY TESTING RESULTS The Department of General Services reserves the right to require all awarded suppliers to provide certified data from laboratory testing performed by the suppliers, or performed by an independent laboratory, as specified by the department. All costs associated with supplying these samples are the responsibility of the supplier. CERTIFICATION The awarded supplier must provide certifications for each delivery of the fuel products listed below. Certifications will be submitted on company letterhead or stamped/written on delivery receipt. Ultra low sulfur diesel fuel meets all EPA requirements Biodiesel fuel (B100), used as a blend stock, is derived from virgin soybean, rapeseed, or canola oils. Winter Blend diesel fuel or biodiesel blends have a cold filter plugging point of -15 F or less. For winter blending, stamp or write Fuel Additized with at ratio on the delivery document. Otherwise, the agency will not accept delivery. Page 5 of 6

7 CN SECTION III PRICING AND INVOICING III.1 PRICE ADJUSTEMENT CLAUSE 1. The Commonwealth shall adjust prices under this Contract as established in this clause. 2. The basis for the ultra low sulfur (ULS) diesel fuel price changes shall be the Oil Price Information Service (OPIS), Daily Wholesale Rack Report, Gross Prices. The price changes will be computed on a daily basis. If the Rack Report is not issued for some reason, then the last published price information will be used. The computation is as follows: Daily Adjusted ULS Diesel Fuel Price = (Philadelphia Average ULS Rack Price + Harrisburg Average ULS Rack Price + Pittsburgh Average ULS Rack Price)/3 The price adjustment is applicable to all Pennsylvania counties. The total fuel price is thus calculated using the Daily Adjusted ULS Diesel Fuel Price plus or minus the awarded price differential. On a weekly basis, a Change Notice will be issued to incorporate these price changes 3. The basis for the bio-diesel fuel price shall be the OPIS, Ethanol and BioDiesel Information Service Report. The applicable price will be taken from the OPIS Gross SME BioDiesel Tax Adjusted Market Index, B99 Blendstock, High Sulfur No.2, for the Lancaster, PA location. The OPIS price for bio-diesel fuel will be changed on a weekly basis. The price adjustment is applicable to all Pennsylvania counties. If the Gross SME BioDiesel Tax Adjusted Market Index, B99 Blendstock, for Lancaster, PA does not prove to be reflective of the bio-diesel market, the Commonwealth reserves the right to revert to the weekly Jacobsen BioDesel Bulletin. The total fuel price is thus calculated using the weekly B99 OPIS Price and the Daily Adjusted ULS Diesel Fuel Price plus or minus the awarded price differential for biodiesel. In a weekly basis, a Change Notice will be issued to incorporate the price change. The computation is as follows: (.05 X (Weekly B99 OPIS Price)+.95 X (Daily Adjusted ULS Diesel Fuel Price)+ biodiesel Price Differential= B5 III.2 INVOICES Payment will be based upon the total fuel price on the day that the fuel delivery is made. Payment for weekend deliveries will be based on the total fuel price of the preceding Friday. For holiday deliveries, if market prices are published by the Oil Price Information Service (OPIS) on that holiday, then payment will be based on the total fuel price for that day. III.3 REPORTING REQUIREMENTS The Commonwealth and World Energy, a consultant to the Commonwealth, both require a monthly electronic (Microsoft Excel/Access) summary report from the Contractor. The electronic format shall be jointly determined by the Contractor and the Commonwealth. As a minimum, the report shall contain the following information: Contract Number, Contractor Name, Account Number, Invoice Number, Customer Name, Delivery Address (include Street, City, State), Delivery Date, Fuel Description, Quantity, Unit of Measure, Unit Price, and Total Price. The report must be filed within thirty (30) days after the end of each month to both the Commonwealth and World Energy. In addition, the Contractor may be asked to furnish additional information to the Commonwealth regarding deliveries, payments, invoices, etc. Page 6 of 6
