27 TERMS AND CONDITIONS OF SALE Unless otherwise expressly agreed in writing and signed on behalf of Zon International Limited these conditions shall override all statements, representations, terms and conditions and warranties made, stipulated, incorporated or referred to by any party in negotiations between Zon International Limited and the Purchaser. The contract of sale is to be construed in accordance with English Law and shall not be assignable without the written consent of Zon International Limited. 1. ACCEPTANCE OF QUOTATION AND CONTRACT i) All quotations supplied by Zon International Limited remain valid for 30 days after which time they lapse. Quotations may be renewed in writing. All quotations are made "subject to availability". ii) Orders are only accepted upon and subject to the conditions herein. iii) No contract will exist between Zon International Limited and the Purchaser until Zon International Limited despatches to the Purchaser an Order Acknowledgement. Orders are accepted, manufactured and invoiced in accordance with the quantities, specification, price, payment and terms as contained in the Order Acknowledgement and Zon International Limited should be notified in writing of any discrepancies within 48 hours of dispatch. 2. PRICES All prices are quoted in Sterling exclusive of VAT. 3. PAYMENT i) Payment for agreed credit accounts within specified credit limits is due 30 days from the date of invoice unless otherwise stated and payment shall not be refused or delayed because of any faulty, damaged or defective goods. Payment must be made to Zon International Limited, PO Box 329, Edgware, Middlesex, HA8 6NH. ii) All sums not received by Zon International Limited on due date will bear interest at the rate of 2.5% per month or part thereof. iii) Payment for all other accounts will be on a Proforma. 4. TITLE IN GOODS The risk in the goods shall pass from the seller to the buyer upon delivery of such goods to the buyer. However, notwithstanding delivery and the passing of risk in the goods, title and property in the goods, including full legal and beneficial ownership, shall not pass to the buyer until the seller has received in cash or cleared funds payment in full for the goods delivered to the buyer under this and all other contracts between the seller and the buyer for which payment of the full price of the goods thereunder has not been paid. Payment of the full price of the goods shall include the amount of any interest or other sum payable under the terms of this and all other contracts between the seller and the buyer under which the goods were delivered. 5. WARRANTY Goods are guaranteed for one year from the date of delivery against manufacturing defects to have arisen under normal conditions of use. During the subsistence of the warranty Zon International Limited will remedy free of charge by replacing or repairing at its option any defective product provided that: - a) Such goods being returned to Zon International Limited with their prior written agreement carriage paid by the Purchaser immediately upon discovery of defect; b) Redelivery charges being paid by the Purchaser. c) Zon International Limited shall incur no liability to pay compensation as a result of such defects. d) Fair wear and tear of fabric is not covered by this warranty. 6. DEFAULT IN PAYMENT If the Purchaser fails to pay in accordance with the payment terms or otherwise as agreed with Zon International Limited in writing, Zon International Limited may give notice in writing to the Purchaser that the contract is repudiated. Thereupon title to the goods shall revert to Zon International Limited. The goods shall be held available for collection by Zon International Limited and the Purchaser shall indemnify Zon International Limited in respect of costs and expenses. 7. DELIVERY Unless otherwise stated in price lists and quotations or agreed in writing: i) Delivery of goods is chargeable ii) All deliveries will be affected to ground floor entrances. iii) Zon International Limited reserves the right to perform its contract by multiple or instalment deliveries. iv) Goods received in damaged or unsatisfactory condition shall be signed for on delivery and marked as such on the delivery note. Zon International Limited shall be notified in writing within 3 days of delivery of any such damage failing which no claims will be accepted by Zon International Limited. iv) Time shall not be the essence in respect of any delivery date. Zon International Limited will do its utmost to ensure prompt delivery but will not be held responsible for any claims for inconvenience or loss or consequential loss or otherwise on the part of the Purchaser caused by delay in delivery from whatever cause. v) If for any reason the purchaser is unable or refuses to accept delivery of goods at the contracted time Zon International Limited will charge any costs incurred for storage, insurance, additional handling and transport charges; all such charges being due are payable immediately on demand. Payment in respect of the goods so held will be due and payable from invoice date irrespective of when delivery will ultimately take place. 8. INSTALLATION Installation services are available on request within mainland England and Wales and will be chargeable. Quotations in respect of installation services will normally be for normal working hours unless otherwise specified and agreed in writing. 9. CANCELLATION The purchaser shall not be entitled to cancel orders placed for goods for whatever reason. 10. LITERATURE At the time of publication of all catalogues, leaflets and price lists the information contained therein is believed to be correct but such information is subject to alteration without notice. Zon International Limited reserves the right to discontinue any product at any time without notice. 11. FORCE MAJEURE Zon International Limited shall not be liable for any failure in the performance of any of its obligations under the contract caused by factors outside its control. 27 Zon International Limited
