Customers claiming tax exemptions must furnish proof in writing of tax exemption number. PRICES Manufacturer s prices and discounts are subject to change without notice. Prices in effect at time of shipment will apply. Manufacturer will make every effort to notify Dealer/ Distributor 30 days in advance of price changes. PAYMENT TERMS Payment terms are net 30 days from invoice date. Payments received later than the stated terms will be subject to a finance charge of.8333% per month (10% per annum) of the total invoice balance. Percentage will be governed by the legal amount permitted by law in the sate of Arkansas. In the event it becomes necessary to pursue collection through litigation, customer will be held responsible for all related costs. ORDER CHANGES Manufacturer processes orders immediately upon receipt. Therefore, any amendments to original order may be subject to new order classification. SHIPPING DAMAGE/LOSS When shipment is made by common carrier and product is damaged in route to Customer, Customer shall be responsible for filing damage claim with carrier. Manufacturer will not be responsible for any liability of product damage once product is released to carrier. NONCONFORMING ORDERS Customer must notify the Manufacturer in writing within 72 hours after receipt of shipment if shipment does not conform to Customer s order. If Manufacturer is not notified of such nonconformity within specified period stated above, shipment will be deemed acceptable as is. However, should customer notify Manufacturer of nonconformity of shipment and if Manufacturer is satisfied that shipment is nonconforming, Manufacturer will: (1) credit Customer for the price of goods, including outbound and inbound freight charges, upon receipt of the goods in original and unused condition; (2) promptly ship omitted/correct items to Customer. If returned goods are received by the Manufacturer and found to be damaged, Manufacturer will not credit Customer for the total price of the product. WARRANTY Please refer to the owner s manual for each product. Warranty does not cover labor or consequential damages. NOTICE The Purchaser agrees, in exchange for the pricing schedules used in this transaction, that any litigation of any nature arising from this transaction, or in any other way related to the relationships involved herein shall be exclusively subject to venue, in personam and subject matter jurisdiction in any other court or courts in any other county or state are hereby waived; further, any transaction in which the Purchaser is a corporation, other than a corporation with publicly traded stock, is recognized to include the guaranty of performance from and by the principal shareholders thereof whose authorization of such guaranty is represented to have been secured prior to the first and subsequent transaction and which guaranty is evidenced through the corporation s purchase.
