2 , is a privately owned, light metal engineering business based in Camden Park, outh Australia. Our modern facility occupies an area of approximately 10,000m² and produces two major product categories. The best-known and largest product group is our range of Milford Cargo Barriers. We are also a specialist in the design and manufacture of foldable stillages and intermediate bulk containers (IBC). The Cargo Barrier is designed to separate cargo from the occupant area under crash conditions. The Australian and New Zealand safety standard A4034:2001 is the most stringent performance standard for internal vehicle load restraints in the world. Milford Cargo Barriers are rigorously tested and independently certified to deliver this standard for more than 200 Passenger, UV, 4W and Light Commercial Vehicles (LCV). The Milford Cargo Barrier has also been shown in many instances to save lives in roll-overs and other dangerous crashes. It has achieved this by acting as a structural bulkhead and therefore adding to the vehicle s overall strength and design integrity. Importantly, the Milford Cargo Barrier was also honoured with one of the highest automotive industry accolades - the 1996 Award for afety Engineering Excellence by the United tates of America epartment of Transportation. In Australia and New Zealand, we are the predominant supplier of Cargo Barriers to original equipment manufacturers (OEM) and with our Milford brand, the automotive aftermarket. ome of our key OEM accounts include, Ford, General Motors Holden, GM aewoo, Hyundai, Mitsubishi, Nissan, ubaru, Toyota and Volkswagen. We also distribute our product to the automotive aftermarket through a large network of specialist wholesalers and stockists. The Milford Cargo Barrier is specified and used by the vast majority of Australia s premier companies. The Cargo Barrier is considered, in our country, to be an essential requirement for fleet operators to ensure that they meet the duty of care provisions of the Occupational Health and afety Act. It is also positively regarded as a means of keeping travelling families safe and in particular, it is a must for off-road travel or while on holiday. A small sample of correspondence from our many satisfied customers includes: uring the accident the Milford Cargo Barrier performed two vital functions: 1. It prevented potentially fatal missiles from entering the passenger compartment. 2. It augmented the vehicle's structural integrity, preventing the roof from caving in under the weight of the double roll over Telstra was the first company to realise the dangers of unrestrained loads. 59 Conditions of sale of goods Operative provisions 1 Interpretation 1.1 In these conditions of sale of goods: contract of sale means an agreement between a purchaser and the seller for the supply of goods goods means all goods ordered from the seller by the purchaser purchaser means that person(s) or body(ies) corporate who purchase goods from time to time from the seller, and to whom these conditions are directed seller means Rees Operations Pty Ltd ACN (trading as Milford Industries). 2 Application of conditions 2.1 These conditions apply to all contracts of sale between a purchaser and the seller, whether or not evidenced or contained in a written quotation and/or order, or any other document. They may only be varied with the written approval of the seller. They override any inconsistent conditions in any document or other communication used by the seller or the purchaser in relation to a contract of sale. 3 Communication of orders 3.1 Each order will be communicated to the seller in a manner acceptable to the seller and it will contain all information necessary to enable the seller to give effect to the order. The seller will be entitled to reject any order. 4 Payment Price 4.1 The price of the goods will be the price published in the seller's price list prevailing at the date of receipt by the seller of the purchaser's order for those goods, or otherwise, the last quoted price provided by the seller, and ordered by the purchaser, within the time guidelines of the latest quote. 4.2 Unless otherwise agreed, the purchaser must pay the seller for the goods without any deduction or set off within 30 days of the expiration of the calendar month during which the relevant goods were delivered to the purchaser. Time is of the essence. Tax 4.3 To the extent that the consideration to be paid or provided under a contract of sale is not expressed to be GT inclusive, the purchaser must also pay the GT payable on it for supply made to it. The seller must provide a tax invoice to the purchaser at or before the time that the purchaser is required to pay the GT. Terms used in this clause have the meanings given to them in the A New Tax ystem (Goods and ervices Tax) Act 1999 (Cth). 4.4 The purchaser must reimburse the seller on a full indemnity basis for any other tax, duty or charge (excluding any tax imposed on the net income of the seller) that is payable by
