4 Program Rules: Does not apply for Yanmar branded 3-point attachments. See separate program details. Does not apply for Yanmar T80. See separate program details. All orders are subject to credit approval by Yanmar and GE. Freight charges will be calculated based on above chart and will be billed NET 30 days to the dealer s floor plan account. Each shipment will have only the portion of the freight for the items shipped on that invoice. Any back ordered items will carry the same freight and terms as the original order. Fixed freight rate applies to the 48 contiguous states (Zone A-D). For Zone E (spot rate), please contact with your sales coordinator for freight quotation. Floor plan term for non-serialized item (DOP, attachment, accessory) is NET 60 days. Yanmar America reserves the right to terminate or modify this program at any time with written notice.

5 Yanmar Shipping Damage/Shortage Claims Procedure Procedure for receiving and submitting damage or shortage. Products shipped from our warehouse in Georgia. If products are received damaged or missing from the pallet, the following process must be followed. Immediately take pictures of damage and the condition of the pallet upon receipt and inspection. Before signing for the shipment, note damage or shortage on the shipping receipt. Contact your Yanmar Sales Coordinator to receive Shipping Damage/Shortage Notification Form and note damage or shortage. Yanmar will deny any claim if not received within 5 business days of the shipment arrival. Claim will be denied if Bill of Lading is not signed for as short or damaged. Contact your Yanmar Sales Coordinator to note any concealed damage or concealed shortage within 5 days of shipment arrival. The claim must include pictures, copy of Packing slip; Invoice number as well as account number. Keep all packing materials. Payment of each invoice is due in the full amount of the invoice. Disputed charges will be investigated by Yanmar and will be settled separately from the invoice in question. Please to: logistics@yanmar.com

6 Date: January 1, 2016 To: All U.S. Yanmar Compact Tractor Dealers Subject: 2016 Yanmar Performance Bonus Program Program #: US-TS0216 Program Period: January 1, 2016 through December 31, 2016 Products: Yanmar Compact-Utility Tractors & Attachments Program: The 2016 Yanmar Performance Bonus Program (PBP) is designed to reward exceptional dealers for their efforts in the promotion and growth of the Yanmar brand. To qualify for the 2016 Yanmar Performance Bonus, each dealership must meet certain minimum standards and qualifications. Retail, which will be paid-out after closing the program 3. Shipments to dealers via transfer will NOT count toward the shipment bonuses. Shipments from Yanmar Adairsville factory will count towards shipment bonuses. 4. Retails via transfer will count toward the retail bonuses. 5. Warranty registration must be completed within 30 days of retail delivery (sale). 6. Dealer retail performance is calculated based on product registration date within the program period. 7. Termination of dealer contract will forfeit the dealer s right to participate in the 2016 PBP and any future earnings or payouts. 8. 7 Date: January 1, 2016 To: All U.S. Yanmar Compact Tractor Dealers Subject: 2016 Yanmar 5-Year Powertrain Warranty Program Program #: US-TS0416 Program Period: January 1, 2016 through December 31, 2016 Products: Yanmar Compact-Utility Tractors Program: Beginning January 1, 2016 all Yanmar compact utility tractors will feature a 5-year limited Powertrain warranty. (3-year standard/manufacturer s limited Powertrain warranty, plus an additional 2-year Yanmar extended Powertrain warranty) 1. Yanmar will extend the original Powertrain warranty on powertrain components of all 221,324,424,Sc, Sx, Ex, Lx, YT2, YT3 models from 3-years or 2,000 hours to 5-years or 2,500 hours, whichever comes first. a. Yanmar warrants components found in the engine and driveline excluding any other specific warranty components enumerated in original manufacturer s limited warranty. b. Powertrain components include items such as: cylinder block, cylinder head, valve covers, oil pan, timing gear covers, flywheel housing, hydrostatic transmission, transmission case, differential & rear axle housings, clutch housings, front axle assembly, and all parts contained therein. c. Powertrain components DO NOT include: fuel systems, electrical systems, cooling systems, intake & exhaust components, external drivelines, clutch discs, and/or steering cylinders which are covered under the applicable warranties described in original/standard Manufacturer s Limited Warranty. 2. Tractors retailed as new equipment on or after January 1, 2016 are covered. 3. All units on dealer floor plan as-of January 1, 2016 are eligible for the 5-year Powertrain warranty at the time of retail sale during the program period. 4. Yanmar will provide a 2-year extended Powertrain warranty card for all Yanmar tractor units on floor plan as-of January 1, 2016 if it is necessary. 5. Yanmar will ship new products from the factory with 3-year manufacturer s Powertrain warranty card and 2-year extended warranty card from January 1, Upon retail of Yanmar tractor, the product must be registered using Yanmar s product registration process, including date sold and customer information. 7. A dealer must submit all warranty claims through Yanmar s online warranty claim system (eclaim or SIEBEL). Hours of use must be submitted. 8. 8 Date: January 1, 2016 To: All U.S. Yanmar Compact Tractor Dealers Subject: 2016 Yanmar Bid Assistance Program Program #: US-TS0516 Program Period: January 1, 2016 through December 31, 2016 Products: Yanmar Compact-Utility Tractors & Attachments Program: The Yanmar Bid Assistance Program is designed to help Yanmar dealers achieve increased sales to non-profit, tax-exempt, and state-regulated organizations. Dealer will be eligible for bid assistance when the following requirements are met: The customer qualifies as one of the following: 501(C)(3) Organizations o Non-profit, religious, educational, scientific, charitable, organizations, etc. o IRS exemption number required Tax Exempt Federal, state, county, city & municipal, etc (taxpayer-funded) entities. State Regulated Schools, cemeteries, park districts, utility services, etc. Independent contractors purchasing equipment to fulfill a contract to eligible entities are eligible to receive bid assistance. The contract must be for a minimum of 12-months with at least 9-months remaining as of the date on the Yanmar equipment purchase order. A copy of the eligible contract must be attached. Eligible Products: Yanmar compact utility tractors & attachments sold with tractors. NOTE: Cannot be combined with any other fleet or demo programs. 9 US-TS0516: 2016 Yanmar Bid Assistance Program (continued) Program Rules & Details: This program CANNOT be used in conjunction with any other DSA, Cash rebate or 0% finance programs. Yanmar America reserves the right to terminate or modify this program at any time with written notice. Approved credit will be paid directly to the dealer. No amount should be deducted from the remittance when paying-off balance on the floor plan account. To receive the bid assistance credit, the dealer must submit the following to Yanmar within 45 days of actual sale date: Bid Assistance Form* (Completed in full and signed by dealer). Copy of independent contractor s award, if applicable. Copy of signed customer invoice illustrating applied discount. Proof of floor plan settlement. Copy of product registration. Example #1 Model: Ex3200 ATL Dealer Net Price: $17,924 Suggested List Price: $23,899 Retail price: $20,314 Discount: $3,585 (15.0%) ($23,899 - $20,314) Bid assistance: $17,924 x 8% = $1, A dealer sold Ex3200 ATL with 15% discount from SLP. In this case dealer did not use any other Yanmar retail program such as 0% financing or DSA. A dealer is eligible to receive Bid assistance at $1, into dealer open account. Example #2 Model: Ex3200 ATL Dealer Net Price: $17,924 Suggested List Price: $23,899 Retail price: $20,314 Discount: $3,585 (15.0%) DSA: $2,000 DSI: $250 Bid assistance: 0% A dealer sold Ex3200 ATL with 15% discount from SLP. In case a dealer claims DSA and DSI, a dealer CANNOT additionally receive Bid assistance support although it is retailed with 15% discount. A dealer can chose either DSA/DSI retail program or Bid assistance support. (Under this DSA&DSI retail program, a dealer should chose DSA&DSI program, since it is higher than Bid assistance)
