With the co-operation of relevant Government agencies, exchanges, related institutions and market intermediaries, we have embarked on numerous initiatives over the last five years. The results are evident from the dramatic structural changes and legislative reforms that pave the way towards Malaysia's transformation into a regional capital market centre. Our capital market now features greater depth and breadth than ever before. New instruments have been introduced into the equity market. The range of derivatives offered is being expanded. These developments are, in turn, supported by a robust regulatory structure that is steadily moving towards transparency, financial stability and professional integrity. 4 Securities Commission : An Introduction The Early Years The Securities Commission represents the culmination of the Government's plan to fast-track and systematise the development of Malaysia's capital market to fuel the country's economic growth. Up until the mid-80s, the stock market was not regarded as an important avenue for capital raising. The public sector, the transducer of economic growth, obtained cheap funding from the captive Malaysian Government Securities (MGS) market. The private sector, on the other hand, preferred bank financing and internal borrowing. Impetus for growth came with the winds of privatisation after the mid-80s recession. Seeking to rightsize the public sector and public sector spending, the Government entrusted the private sector with greater responsibility in taking economic initiatives. Concurrently, the Government turned its attention towards strengthening the capital market which was recognised as a new and important source of funds. Among major developments of the period were the introduction of the Amanah Saham Nasional (ASN) and Amanah Saham Bumiputera unit trust schemes, corporatisation of stockbroking firms, improved trading and clearing systems at the Kuala Lumpur Stock Exchange (KLSE), and the introduction of new instruments to be traded. However, there remained a cumbersome and multi-tiered regulatory structure for the capital market. Evidently, a single authority was needed to pro-actively and systematically regulate and oversee its development, while protecting investors' interests. In 1988, a government task force, headed by the then Finance Minister, (now Tun) Daim Zainuddin, recommended the establishment of a Securities Commission. The idea was reaffirmed in the Sixth Malaysia Plan in A special committee was formed to make recommendations to the Finance Minister on the formal structure of the Securities Commission. The responsibility of studying the matter was entrusted to a task force comprising representatives from the Capital Issues Committee, Registrar of Companies, Bank Negara Malaysia (Central Bank), Foreign Investment Committee and the Attorney-General's Chambers. By end 1992, the Securities Commission Bill and the Futures Industry Bill were passed into Law. Amendments were also made to the Securities Industry Act On March 1, 1993, the Securities Commission (SC) was formally established together with a legal framework. At the same time, the Capital Issues Committee and the Panel on Take-overs and Mergers, two organisations that had been involved in regulating the capital market, were dissolved.

5 Securities Commission As Facilitator And Regulator Today, the SC functions as a self-funding statutory body that reports to the Finance Minister. As the regulator of the Malaysian capital market, the SC oversees all matters relating to securities and futures contracts, as well as unit trust schemes; licensing and supervision of all licensed persons; supervision of exchanges, clearing houses and central depositories; and protection of investors. The SC's regulatory principles and objectives in this regard are as follows:?? Create commercial and legal certainty for each person's function and responsiblities.?? Promote a flexible regulatory environment.?? Uphold market integrity.?? Enhance market transparency.?? Promote operational efficiency.?? Ensure adequate investor protection. The SC is also responsible for the development of Kuala Lumpur into a regional capital market centre. In this regard, the SC recognises that deepening and broadening the capital market is critical in ensuring greater inflow of domestic and foreign funds in view of its growing importance in capital raising activities. Specifically, there have to be other markets to meet the different risk-reward profile of market players, investors and corporate issuers. New instruments are required for hedging of asset exposure and risk management. Accordingly, SC has embarked on numerous initiatives, such as developing the derivatives market, facilitating the introduction of new instruments on the equity market, as well as developing the asset and fund management industry. The maintenance of an efficient, transparent and secure market makes it vital that the development of the market be supported by development of institutions and intermediaries within the market. In strengthening the institutional infrastructure of the market, the SC has facilitated the improvement of clearing and settlement systems, raised the standards for capital adequacy, accounting and disclosure, and improved risk management systems to ensure safety, transparency, efficiency and lower costs to all capital market participants. Additionally, the SC has taken expedient measures to minimise systemic risk by monitoring potential weaknesses in the capital market, co-ordinating market surveillance, undertaking contingency planning and investor education. By vesting the SC with the twin roles of regulator and growth facilitator, the Government recognises that the legal and regulatory framework are strong drivers of change in the capital market. Indeed, the SC recognises that the key elements in a market - liquidity, price efficiency and operational efficiency - are dependent on the confidence of market participants. However, maintenance of an orderly market in today's globalised financial environment is just as essential. Thus securities laws are required to create commercial and legal certainty while allowing for the flexibility that is a hallmark for the capital market.

6 The SC has initiated several law reform initiatives that strike the balance between emplacing appropriate regulatory measures (such as capital adequacy requirements, timely disclosure of material information, and satisfactory back-office systems and procedures of market intermediaries) and allowing room for growth. A Continuing Commitment The SC is expected to fulfil a more challenging role in the future development of the capital market, given the anticipated demand for capital in Malaysia and the growing impact of technology on globalised markets. With the Government signalling its aspiration to position Malaysia as a regional capital market centre, the SC will have its work cut out for it. The task identified is one of deregulation, professionalism and efficiency. The ultimate goal identified is the installation of a fulldisclosure, frontline-regulated and investor-protecting framework by year 2001.
